Rhea-AI Filing Summary

Select Water Solutions, Inc. said its subsidiary, Select Water Holdings LLC, issued $900 million aggregate principal amount of 7.625% Senior Notes due 2034 on October 21, 2026. The notes are senior unsecured obligations, fully and unconditionally guaranteed on a senior unsecured basis by the issuer’s existing subsidiaries that guarantee its revolving credit facility. Select Water Solutions and SES Holdings, LLC are not guarantors or parties to the indenture.

The notes mature November 1, 2034, with interest payable semiannually in arrears on May 1 and November 1, beginning May 1, 2027. Before November 1, 2029, the issuer may redeem up to 40% at 107.625% of principal plus accrued interest, using cash no greater than net cash proceeds from certain equity offerings, if at least 50% remains outstanding and redemption occurs within 180 days of the offering closing. A separate option allows all or part to be redeemed before that date at 100% plus a make-whole premium and accrued interest. If the Pilot Water Acquisition is not completed by March 1, 2027, or a later outside date agreed by the parties, or the issuer gives the trustee written notice before then that the agreement was terminated without closing or it will not pursue the acquisition, the issuer must redeem an amount equal to the excess, if any, of issued principal over $450.0 million at issue price plus accrued interest.

Filing Explained

Beyond the notes already issued, the indenture limits specified issuer actions and creates conditional repurchase and acceleration rights for holders.

The indenture for the issued notes limits the issuer and its restricted subsidiaries from taking specified actions, including incurring debt, paying distributions, selling assets and making investments.

If a defined Change of Control occurs together with downgrades by two rating agencies, the issuer may be required to offer to buy the notes at 101% of principal plus accrued interest.

If an Event of Default occurs and continues, the trustee or holders of at least 25% of outstanding principal may declare all notes immediately due; certain specified defaults make them due automatically.

senior unsecured obligations financial
"The Notes are senior unsecured obligations of the Issuer"
Senior unsecured obligations are loans or bonds that a company promises to pay back with its own money, but without any special guarantees or collateral. If the company runs into financial trouble, these debts are paid after other debts with priority, meaning they are less protected but still important. They matter because they show how risky it is to lend money to a company.
make-whole premium financial
"plus a “make-whole” premium"
A make-whole premium is an extra payment a borrower must give bondholders when repaying debt early to compensate them for lost future interest; think of it as a lump-sum “catch-up” to leave lenders financially where they would have been if the loan had run its full term. It matters to investors because it affects how much they receive on early redemption and influences a company’s decision to refinance or repay debt, altering bond value and expected returns.
Special Mandatory Redemption financial
"Special Mandatory Redemption"
A special mandatory redemption is a contractual obligation that forces a company to repay certain debt or preferred shares early when a specific trigger event occurs (for example, a change in tax law, regulatory change, or sale). For investors it matters because it ends the expected income stream and returns principal at a pre-set price, potentially altering returns, tax outcomes and a company’s cash needs — like a lender calling a loan back when rules change.
Change of Control financial
"If a Change of Control occurs"
A change of control occurs when the ownership or management of a company shifts significantly, such as through a sale, merger, or acquisition, resulting in new leadership or ownership structure. This change can impact the company's direction and decision-making, which is important for investors because it may affect the company's stability, strategy, and future prospects.
Event of Default financial
"If an Event of Default occurs and is continuing"
An event of default is a specific breach of a loan or bond agreement—such as missed payments or breaking agreed rules—that gives lenders the legal right to act, for example by demanding immediate repayment, seizing collateral, or accelerating other obligations. For investors, it’s a red flag because it can sharply reduce a company’s ability to operate or raise money, like a car lender repossessing a vehicle after missed payments, and often leads to falling share or bond prices.
