Insights

FCA ended an offtake; Westwater disputes termination.

Westwater Resources disclosed that FCA US LLC terminated a Binding Offtake Agreement for CSPG natural graphite anode products effective November 3, 2025. Offtake agreements typically anchor future sales volumes for project development; losing one can affect commercialization plans depending on scale.

The company explicitly “disputes” FCA’s right to terminate and “reserves” its rights, indicating potential follow‑up steps under the contract. The excerpt does not quantify volumes, duration, or financial contribution, so the economic impact cannot be assessed here.

A strategic update press release was furnished as Exhibit 99.1. Any implications for production timelines, customer mix, or replacement of demand would depend on details in that press release or subsequent disclosures.
