As disclosed in the Report on Form 6-K filed by the Company with the Securities and Exchange Commission on August 6, 2026 (the “Prior 6-K”), the shareholders of Wing Yip Food Holdings Group Limited (the “Company”) approved, at the 12th Extraordinary General Meeting held on August 6, 2026 (the “EGM”), the issuance of an aggregate of 23,000,000 new ordinary shares (the “New Shares”) by way of private placement (third-party allotment) to Wang Tingfeng, Wong Sio Chan and Zhao Jin Hua (collectively, the “Subscribers”) at a price of KRW 1,600 per share, for an aggregate subscription price of KRW 36,800,000,000 (approximately HKD 194,698,693.20).

 

The Company hereby announces that the issuance of the New Shares has been completed. The New Shares were issued on August 7, 2026 and were listed on the Korea Exchange (“KRX”) on September 7, 2026. Following the issuance, the total number of issued ordinary shares of the Company is 35,582,732 shares.
