(d) On October 28, 2025, the Board of Directors of Exxon Mobil Corporation (“ExxonMobil” or “the Corporation”) elected Greg C. Garland as a new non-employee director of the Corporation, effective November 3, 2025. The Board appointed Mr. Garland to serve as a member of the Audit Committee and the Finance Committee. 

As with other non-employee directors of the Corporation, Mr. Garland will receive an initial one-time grant of 8,000 shares of restricted ExxonMobil common stock under the Corporation’s 2004 Non-Employee Director Restricted Stock Plan. Thereafter, Mr. Garland will receive the same compensation as other non-employee directors of the Corporation as described in the Corporation’s most recent Proxy Statement dated April 7, 2025.
