Rhea-AI Filing Summary

ZenaTech, Inc. (ZENA) reports a series of strategic developments, led by the acquisition of ESM Software, a Boston-based strategy execution and performance management SaaS provider with over 8,000 users. ESM becomes the 13th software brand in ZenaTech’s enterprise SaaS portfolio and is expected to add recurring revenue and long-standing government, healthcare, utilities, financial services, and retail customer relationships, with planned integration into the beta-stage Zoo Office productivity platform.

The company also advances its AI drone roadmap: its ZenaDrone subsidiary has completed an initial prototype of the IQ Octo, a medium-sized octocopter designed for autonomous precision spraying and seeding, with Version 1 testing to begin at ZenaTech’s Arizona facility. IQ Octo is designed for 20–25 minutes of flight per charge and up to 25 kilograms of payload, with a future Version 2 aimed at solar maintenance, swarm operations, and automated refilling. Separately, ZenaTech is developing a franchise business model for drone-based power washing built on its June 23, 2026 acquisition of Green Earth Powerwashing, using the IQ Square drone to offer aerial cleaning services to franchisees.

Beyond product and M&A activity, ZenaTech highlights go-to-market momentum. ZenaDrone’s precision agriculture solutions received the 2026 “Drone Technology of the Year” award from the AgTech Breakthrough Awards program, and management plans to showcase Drone as a Service growth and defense solutions across eight investor and defense events in the United States and Europe through October 2026, targeting institutional investors and military, government, and public-safety decision makers.

Positive

  • Acquisition of ESM Software adds a mature strategy execution and compliance SaaS platform with over 8,000 users, multi-year government and regulated-industry relationships, and becomes the 13th brand in ZenaTech’s enterprise software portfolio, supporting recurring revenue and integration into the Zoo Office ecosystem.
  • New IQ Octo drone prototype extends the ZenaDrone IQ Series into precision spraying and seeding with a medium-sized octocopter designed for 20–25 minutes of flight and up to 25 kilograms of payload, targeting high-growth precision agriculture and future solar maintenance applications.
  • Franchise-based DaaS power washing strategy leverages the Green Earth Powerwashing acquisition and an existing registered franchise system in Florida to plan drone-enabled power washing services using the IQ Square platform, aiming to build a scalable, recurring-revenue service model.
  • External industry recognition through the 2026 AgTech Breakthrough “Drone Technology of the Year” award for ZenaDrone’s precision agriculture solutions enhances credibility of ZenaTech’s AI-powered drone offerings with prospective agriculture and DaaS customers.
  • Active investor and defense outreach via eight scheduled conferences and trade events in the U.S. and Europe increases visibility for ZenaTech’s Drone as a Service and defense solutions among institutional investors and key government and public-safety decision makers.

Drone as a Service financial
"ZenaTech’s Drone as a Service (DaaS) platform"
Drone as a service (DaaS) is a business model where companies provide drone flights, sensors, data collection and analysis on a subscription or contract basis instead of selling the aircraft outright. For investors it matters because DaaS can create recurring revenue and scalable service margins like a rented contractor or utility, while concentrating risks around regulation, data security and operational reliability that can affect future cash flow and growth.
precision agriculture technical
"advances precision agriculture through AI-powered aerial intelligence"
Precision agriculture uses sensors, satellite maps, weather data and automated equipment to manage crops and livestock more exactly — applying water, fertilizer and treatments only where and when they are needed. For investors it matters because this data-driven approach can lower costs, boost yields and make farming more predictable and scalable, much like a GPS and health tracker that optimizes a route and fitness plan for better results.
strategy execution financial
"a Boston-based strategy execution and performance management software company"
counter-UAS technical
"applications for U.S. defense and NATO allies, including counter-UAS"
Counter-UAS (counter-unmanned aircraft systems) are tools and tactics used to detect, track, and disable or divert drones that pose a threat to people, property, or operations. Think of them as a combination of a security camera, alarm system, and net that can find an unwanted flying device and stop it before it causes harm. Investors care because demand, regulation, and deployment of these systems affect revenue, contract opportunities, legal risk, and the valuation of companies that build or use them.
franchise business strategy financial
"developing a franchise business strategy and plan to bring branded"
ISR technical
"the ZenaDrone 1000 for ISR defense and specialized cargo"
ISR stands for socially responsible investing (from the French phrase Investissement Socialement Responsable) and means choosing stocks, bonds or funds based on environmental, social and governance criteria in addition to financial return. Like picking a brand that matches your values, ISR matters to investors because it helps align portfolios with personal or institutional priorities, can reduce exposure to companies with regulatory or reputational risks, and can influence demand and valuation for firms deemed more sustainable.

ZenaTech Completes Acquisition of ESM Software, Adding Strategy Execution and Compliance Software to its Enterprise SaaS Division, with Revenue from Government, Healthcare and Financial Services Customers

Vancouver, British Columbia, (August 25th, 2026) -- ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) ("ZenaTech"), a technology solution provider specializing in AI (Artificial Intelligence) drones, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces the acquisition of ESM Software, a Boston-based strategy execution and performance management software company. ESM serves government, school systems, healthcare, utilities and energy, financial services and retail customers across the United States and globally in Latin America, Europe, Africa, and Australia. In operation since 1998, the company now supports over 8,000 users and has spent more than 25 years helping organizations turn strategic plans into measurable results. This 13th addition to the company’s SaaS portfolio of software brands provides important value to its growing platform and adds recurring revenue and long-standing, multi-year customer relationships.

"ESM brings additional strength to our enterprise SaaS division and future Zoo Office productivity offerings by adding a deep market presence and customer relationships," said Shaun Passley, Ph.D., ZenaTech CEO. "The acquisition expands our software portfolio beyond operational applications by adding enterprise-wide strategy execution, performance management and cybersecurity compliance capabilities, strengthening our value proposition for government and other regulated customers."

ESM Software delivers strategy execution and performance management solutions that help organizations move a strategic plan out into daily operations and achievement. Through The ESM Platform, the company unifies four connected products: ESM+Strategy for building, tracking and reporting on a strategic plan and scorecard; ESM+OKRs for managing quarterly goals; ESM+Perform for linking employee performance to strategy; and ESM+Cyber for managing cybersecurity, risk and compliance programs. The platform helps organizations develop and communicate strategy across departments, track KPIs through live dashboards and reporting, and visualize progress using dynamic strategy maps. It also simplifies complex work, produces board-ready reports and connects employee goals to the organization’s priorities.

ESM’s software capabilities are expected to be integrated into ZenaTech’s recently unveiled and beta-stage AI-powered enterprise productivity platform, Zoo Office. Zoo Office is being developed to serve as the ZenaTech’s enterprise SaaS ecosystem bringing advanced productivity, operational tools, agentic AI capabilities, and industry-specific applications under a single platform. ESM’s addition to the Zoo Office ecosystem is anticipated to provide additional compliance and strategic governance offerings as well as to help customers reduce software sprawl, connect fragmented data, and make more effective use of AI across their operations.

“Partnering with ZenaTech enables ESM to combine our deep expertise in strategy execution and compliance with broader sales capabilities, operational resources and strategic investment,” said Kent Smack, CEO of ESM Software. “Together, we can accelerate product development, deliver greater value to customers and expand into new markets. ZenaTech’s growing presence and customer relationships across government, defense and infrastructure also create opportunities to introduce ESM’s solutions throughout North America, Europe, Australia and other international markets.”

ZenaTech’s ZenaDrone Advances Precision Agriculture Solutions with Initial Prototype and Start of Testing of IQ Octo Designed for Autonomous Drone-Based Spraying and Seeding

Medium-sized, eight-motor autonomous drone joins the IQ Series and ZenaTech’s Drone as a Service for planned precision agriculture and solar maintenance applications

Vancouver, British Columbia, (September 3, 2026) – ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces that its ZenaDrone subsidiary has completed an initial Version 1 prototype of the IQ Octo, its new autonomous drone purpose-built for precision spraying and seeding via Drone as a Service. The IQ Octo is designed to precisely apply fertilizers and crop-protection products and to distribute seeds, helping farmers reduce input costs, avoid crop damage and soil compaction, access difficult terrain, and improve the efficiency of planting and treatment operations. The IQ Octo Version 1 is expected to begin field testing at the company’s Arizona facility in the coming weeks.

“Precision agriculture is one of the fastest-growing sectors in the drone industry, with market analysts predicting over 30% annual growth over the next five years,” said Shaun Passley, Ph.D., CEO of ZenaTech. “Extending our ZenaDrone IQ Series into autonomous spraying and seeding positions our Drone as a Service business to capture a meaningful share of this expanding market. We believe the new IQ Octo, and the recurring service and data opportunities it can create, represents a compelling long-term value driver for both future customers and our shareholders as we continue to diversify our autonomous drone and services portfolio.”

The IQ Octo Version 1 is a medium-sized autonomous drone built on an octocopter design with eight motors, part of ZenaDrone’s growing IQ Series. Battery powered, it is designed to fly for approximately 20 to 25 minutes per charge and to carry a payload of up to 25 kilograms of seeds or liquid. In addition to spraying and seeding, the platform’s Version 2 is expected to support solar panel maintenance applications, swarm capability, automated refilling, and a folding design. Depending on the mission, the agricultural configuration will either carry a liquid tank equipped with spray nozzles, or a hopper with a spreader for seeds. Following a programmed flight path, the drone is designed to fly low over fields and automatically apply liquid treatments or distribute seeds at controlled rates with even coverage.

Farmers use drones for spraying and seeding because they can apply products precisely where and when they are needed, including in wet fields, difficult terrain, and areas with standing crops. This can reduce chemical, seed, water, fuel, and labor requirements; prevent soil compaction and crop damage from heavy machinery; improve worker safety; and enable faster, more targeted treatment as part of a broader precision agriculture system.

The Company will provide further updates as additional development and testing milestones for the IQ Octo are achieved.

ZenaTech Plans Franchise Business Model for Drone as a Service Power Washing

Company's DaaS acquisition of What Exit Ventures, Inc. DBA Green Earth Powerwashing brings franchise experience and a model to accelerate incorporation of drone-based power washing cleaning services for building exteriors and public spaces.

Vancouver, British Columbia, (September 8, 2026) -- ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech” or the “Company”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces it is developing a franchise business strategy and plan to bring branded, drone-based power washing services to market under its Drone as a Service platform. The planned strategy builds directly on the franchise infrastructure and operating experience gained through the Company's recent June 23rd, 2026 acquisition of Florida-based What Exit Ventures, Inc. DBA Green Earth Powerwashing, a cleaning service company with an existing registered franchise system and franchisees serving municipal, commercial, and hospitality customers across central and south Florida.

“We’ve long been interested in a franchise strategy for our Drone as a Service platform that can incorporate multiple service lines over time, and this recent acquisition of Green Earth gives us an accelerated path to bring our first drone-enabled service, power washing, to market incorporating this model,” said Shaun Passley, Ph.D., CEO of ZenaTech. “Through this acquisition we have a franchise infrastructure, trained operators, and customer relationships in place that can help accelerate our plan. Our task now is to build the strategy and operations manual that will let us layer drone technology onto that foundation and apply the first services across Florida, then we plan to enter into other geographic markets nationally.”

The initiative is currently at the planning stage. The Company intends to incorporate existing franchise expertise, systems, and operator network as the foundation for this model, with the goal of layering AI-powered drone technology and workflows onto conventional power washing operations to improve safety, speed, and service consistency for franchisees and their customers.

The concept will use ZenaDrone's IQ Square drone, currently being development for outdoor inspection and maintenance, fitted with a pressurized cleaning attachment and water system to wash building exteriors, facades, roofs, and other hard-to-reach surfaces from the air, operated and supervised by a ground-based technician. ZenaTech believes this approach could improve worker safety and service speed versus traditional ladder- and scaffold-based methods, particularly on high-rise properties. This capability is at the testing stage and is not yet in commercial deployment.

The global drone cleaning services market, which encompasses drone-based power washing, was valued at over USD $5 billion in 2024 and is projected to reach over $15 billion by 2031, with an annual growth rate of almost 17%, according to Valuates Reports. ZenaTech believes Florida's dense concentration of high-rise, commercial, and municipal properties offers strong initial demand ahead of a planned national expansion.

ZenaTech's Drone as a Service platform is being built to provide business and government customers with subscription-based access to drone-based services spanning surveying, inspection, maintenance, power washing, inventory management, and precision agriculture, without the costs or operational burdens of drone ownership. The Company's acquisition-led DaaS strategy is focused on acquiring established, profitable service businesses that currently rely on low-tech or under-digitized processes and integrating drone technology into their operations to build a global, multi-service network anchored by existing customers and recurring revenue.

Details of the franchise offering are at the planning stage, and more information will be provided in due course as the strategy and supporting operations manual are completed.
