ZenaTech Signs Offer to Acquire Alberta, Canada-based Land Surveying Company, Expanding Drone as a Service into the Oil and Gas Industry Drone Inspection Market Growing at over 28% Annually
Vancouver, British Columbia, (May 21, 2026) -- ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) ("ZenaTech"), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces that it has signed an offer to acquire an Alberta-based land surveying and geomatics company operating across three Western Canadian provinces. The proposed acquisition would mark ZenaTech’s first land surveying acquisition in Canada and the first focused on drone-based oil and gas industry services establishing a Drone as a Service presence in a sector growing at over 28% annually.
“This proposed acquisition represents an important strategic expansion of our Drone as a Service business into Canada’s oil and gas sector, one of the most significant energy markets in North America,” said Shaun Passley, Ph.D., CEO of ZenaTech. “This company brings an established commercial customer base, strong regional expertise, and extensive experience supporting surveying and geomatics projects including for some large producers. We believe there is a significant opportunity to further enhance these services through AI-powered drone technology for surveying, mapping, inspections, and infrastructure monitoring applications, enabling us to establish a core expertise that we can bring to this fast-growing global industry.”
The Alberta-based land surveying company provides geospatial land surveying, geomatics, mapping, and related environmental support services for Western Canadian oil and gas producers. Operating from multiple regional offices including the Grande Prairie region, the company supports projects throughout Alberta as well as Eastern British Columbia and Saskatchewan. Its services include surveying, mapping, and pre-site assessment support for commercial infrastructure and energy development projects. The company supports a portfolio of commercial clients in the oil and gas sector, including leading Canadian energy operators and established natural gas producers active across upstream and infrastructure development projects in Western Canada.
Importantly, drones are already deeply integrated into the target acquisition company’s operations, with approximately 80% of current projects utilizing drone-based workflows as part of surveying and geospatial data collection. This creates a highly efficient pathway for technology integration and operational scaling. The proposed acquisition aligns with ZenaTech’s strategy of acquiring established service businesses with strong customer relationships and integrating advanced drone automation and AI technologies to improve efficiency, precision, and long-term value creation across surveying, mapping, and infrastructure monitoring applications.
The proposed acquisition comes at a time when the global oil and gas drone inspection services market is valued at approximately USD 2.3 billion and is projected to grow at a compound annual growth rate of approximately 28.5%, according to market analysts, driven by increasing adoption of autonomous inspection, surveying, and compliance technologies across energy infrastructure.
ZenaTech’s Drone as a Service platform provides business and government clients with on-demand or subscription-based access to faster and superior drone-based services for a host of surveying, inspection, maintenance, power washing, inventory management, and precision agriculture services, without the capital costs or operational burdens of ownership. By acquiring established, profitable service companies currently using low-tech processes and ripe for drone innovation, ZenaTech is building a global, multi-service DaaS network of locations in communities anchored by existing customers and revenue, for next-gen drone integration designed for speed, precision, data, and safety benefits. The company is continuing to build its global business and network of locations as well as its integration of drones and new services.

ZenaTech Opens New Chapter of Growth Through Partnerships — Inviting Founder-Led Companies to Join Its Platform in Defense, Enterprise SaaS and AI Infrastructure
Company has identified profitable, revenue-generating companies intending to materially expand its consolidated revenue
Vancouver, British Columbia, (May 26, 2026) -- ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) ("ZenaTech"), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces the next chapter of its growth strategy: a partnership program that invites established, founder-led companies to join the ZenaTech platform and grow alongside it. The acquisition program focuses on profitable, revenue-generating companies across ZenaTech’s core verticals — defense technology, enterprise SaaS, and related AI infrastructure.
ZenaTech has identified several appropriate companies and has entered into non-binding letters of intent and term sheets with select parties as discussions progress toward potential definitive acquisition partnership agreements. ZenaTech’s approach is collaborative and founder-friendly: it engages directly and confidentially with owners and teams that made each business successful, and structures every partnership so that founders and employees can continue building on a larger platform with greater resources behind them.
“For the past five years, we have deliberately built the ZenaTech operating platform — engineering, manufacturing, software development, and a global footprint — and we built it to be a home where strong companies can do their best work,” said Shaun Passley, Ph.D., ZenaTech CEO. “The founders we want to partner with have already created something valuable, and our role is to help them take it further. We are not looking to take companies apart; we are looking to give great teams a bigger platform, more resources, and access to customers they could not reach on their own. When a partnership is the right fit, we believe both the founders joining us and our shareholders benefit together.”
ZenaTech looks for partner companies that share the following characteristics:
·Profitable and revenue-generating — positive operating cashflow or a favorable, near-term path to profitability under ZenaTech ownership.
·Closely held — companies where ZenaTech can work directly and confidentially with founders and majority owners to shape a partnership that suits everyone involved.
·Strategic vertical fit — defense technology, enterprise SaaS, legacy to Drone as a Service automation, AI infrastructure, and adjacent verticals that integrate into the existing ZenaTech platform.
·Geographic and operational leverage — customer base, talent, or operational footprint that extends ZenaTech’s presence in priority markets across North America, Europe, and Asia-Pacific.
·Accretive to consolidated revenue — each company, individually or in combination, has the potential to have a meaningful and immediate consolidated revenue contribution.
·Operational and cultural fit — management teams whose values and standards complement ZenaTech’s, so that both organizations are stronger working together.
The current acquisition partnership chapter focuses on companies in the following sectors, each chosen for alignment with ZenaTech’s existing platform and revenue model:
·Defense technology and unmanned systems — companies whose products, contracts, or engineering capabilities extend ZenaTech’s ZenaDrone solutions, Zena AI, and counter-UAS portfolios.
·Enterprise SaaS and productivity software — companies whose recurring revenue, customer base, or technology adds value to ZenaTech’s broader enterprise software platform.
·AI infrastructure and applied AI — companies whose models, data assets, or vertical applications strengthen the Zena AI platform across defense and enterprise use cases.
·Drone as a Service automation — operators whose contracts and field operations expand ZenaTech’s drone powered land surveying, inspections, power washing, and manual/low tech or data-driven automation.
·Specialty manufacturing and supply chain — companies whose production, machining, electronics, or composites capabilities reinforce ZenaTech’s vertically integrated drone and defense manufacturing footprint.
Over the past five years, ZenaTech has invested in the engineering capacity, regulatory and integration infrastructure, manufacturing footprint, and global subsidiary base needed to be a strong long-term home for the companies it partners with. That foundation means a founder joining ZenaTech gains immediate access to resources, customers, and support that would take years to build independently — while their business continues to operate under leadership that knows it best.
Subject to the final negotiation of agreements, due diligence completion, and customary closing conditions, ZenaTech will provide updates when available in accordance with disclosure and regulatory requirements. Founders and owners interested in exploring a partnership are welcome to contact ZenaTech directly or email investors@zenatech.com; all conversations are treated as confidential and without obligation.

ZenaTech Completes its 23rd Drone as a Service Acquisition Expanding Colorado Presence in Southeast Denver Growth Corridor
Company also advances towards its stated goal of acquiring 25 companies by mid-2026
Vancouver, British Columbia, (June 02, 2026) -- ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) ("ZenaTech"), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today announces it has closed its 23rd acquisition and second land survey engineering firm in Colorado with the acquisition of High Prairie Survey Company. The acquired company has a longstanding track record serving real estate clients, residential developers, construction companies, and infrastructure clients across the southeastern Denver metropolitan area and growth corridor. As ZenaTech’s 23rd acquisition, this transaction further expands the Company’s DaaS and AI-autonomy platform across the U.S. and globally, while closing in on its stated goal of acquiring 25 companies by mid-2026.
“This acquisition strengthens our presence in Colorado and expands our access to a growing base of recurring land surveying and development-related customers,” said Shaun Passley, Ph.D., ZenaTech CEO. “High Prairie brings decades of trusted client relationships, a strong regional reputation, and deep expertise in surveying services. By integrating these operations into our Drone as a Service, or DaaS, platform, we can enhance operational efficiency, accelerate project timelines, and deliver greater value to developers, builders, and infrastructure customers. This acquisition, also our second in Colorado, supports our strategy of transforming traditional surveying through drone-powered data collection, aerial intelligence, and AI-driven analytics while expanding our recurring revenue opportunities.”
High Prairie Survey Company, based in Kiowa, Colorado, approximately 40 miles southeast of Denver, is a 40-year-established land surveying firm serving the rapidly growing communities of Castle Rock, Parker, Elizabeth, and surrounding areas across Douglas and Elbert counties. The company provides a broad range of surveying and land development services, including boundary and ALTA/NSPS land title surveys, construction staking, subdivision mapping, engineering support, and infrastructure-related surveying.
The acquisition strengthens ZenaTech’s presence in one of Colorado’s fastest-growing development corridors and expands the reach of its Drone as a Service (DaaS) platform as the second location in Colorado along with Rampart Surveys of Woodland Park. By integrating drone-powered surveying, aerial intelligence, and data analytics into High Prairie’s established operations, ZenaTech expects to enhance service capabilities for developers, builders, utility operator inspections, and agricultural and ranching customers while increasing operational scale and recurring revenue opportunities across the region.
ZenaTech’s Drone as a Service platform provides business and government clients with subscription-based access to faster and superior drone-based services for a host of surveying, inspection, maintenance, power washing, inventory management, and precision agriculture services, without the capital costs or operational burdens of ownership. By acquiring established, profitable service companies currently using low-tech and under digitized processes and ripe for drone innovation, ZenaTech is building a global, multi-service DaaS network of locations in communities anchored by existing customers and revenue, for next-generation drone integration designed for speed, precision and safety benefits.

ZenaTech Signs Offer to Acquire a Western Canadian Geospatial and Land Surveying Company to Accelerate Drone as a Service in Utilities, Forestry, Agriculture and Government Sectors
Vancouver, British Columbia, (June 11, 2026) -- ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) ("ZenaTech"), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today announces that it has signed an offer to acquire an established land surveying company with a regional footprint across Western Canada. The proposed acquisition builds on ZenaTech's ongoing North American acquisition strategy and focuses on expanding its Drone as a Service presence in the Western Canadian geospatial sector, which includes critical industries such as infrastructure, utilities, forestry, mining, and agriculture. By combining established surveying and geomatics expertise with advanced drone operations and emerging Beyond Visual Line of Sight (BVLOS) capabilities, ZenaTech believes it can expand its service offerings, increase recurring revenue opportunities, and capitalize on growing demand for geospatial data and aerial intelligence solutions across the region.
“Western Canada represents one of the most attractive North American growth markets for geospatial drone-based services supported by strong demand from construction, utilities, forestry, agriculture and public-sector clients,” said Shaun Passley, Ph.D., CEO of ZenaTech. “The proposed Western Canadian land survey firm acquisition would provide an established regional footprint, a broad commercial and government client base and immediate opportunities to expand higher-margin drone services. Combined with Canada’s progressive BVLOS (Beyond Visual Line of Sight) regulatory framework, we believe this positions us to accelerate recurring revenue growth, expand service coverage, and capitalize on a rapidly growing commercial and government drone services market.”
ZenaTech believes Western Canada is well positioned to become a leading market for commercial Drone-as-a-Service applications based on its vast geography, extensive infrastructure networks, and globally significant forestry and agricultural industries. This creates substantial opportunity for advanced drone operations capable of delivering speed, cost savings, improved safety, and actionable data analytics.
According to Grand View Horizon Research, the Canadian drone market is estimated at approximately US$4.5 billion in 2025 and is projected to reach over US$11 billion by 2033, growing at a compound annual growth rate of over 11%. This growth plus the fact that Canada has established one of the most progressive regulatory frameworks for BVLOS drone operations in North America, potentially provides a clearer and faster pathway to advanced applications and deployment.
ZenaTech’s Drone as a Service AI autonomy platform provides commercial and government clients with convenient subscription and usage-based drone services for a host of surveying, infrastructure inspection, maintenance, power washing, and precision agriculture services, without the capital costs or operational burdens of ownership. ZenaTech’s ZenaDrone Prepares the IQ Quad Land Survey Drone for Submission for Blue UAS Certification to Enable U.S. Government and Defense Procurement Readiness
Vancouver, British Columbia, (June 16, 2026) -- ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) ("ZenaTech"), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today announces that its U.S.-based subsidiary, ZenaDrone, is preparing to initiate the Blue UAS (Uncrewed Aircraft System) certification application for its IQ Quad drone to enable future U.S. defense agency and government procurement list inclusion. The IQ Quad, which was announced earlier this year, is an autonomous AI drone purpose-built for fast and accurate land surveys and geospatial mapping applications.
Currently it is undergoing flight performance and payload sensor integration testing, as well as finalized bill of material documentation as the company prepares application submission under the Green-to-Blue UAS pathway framework. The Blue UAS conferred by the U.S. Department of Defense (DoD) is deemed the most important of the two, opening up a broader range of opportunities for defense agency use.
"Preparing the IQ Quad to enter the Blue UAS certification process is an important step in expanding our portfolio of trusted, NDAA-compliant drone solutions for U.S. government and defense agency customers," said CEO Shaun Passley, Ph.D., ZenaTech CEO. "We believe having the Blue UAS certification will offer us opportunities to sell the IQ Quad to U.S. government organizations such as the Army Corps of Engineers, the Air Force Civil Engineer Center, the U.S. Geological Survey, and the Bureau of Land Management, all of which require secure, high-precision geospatial mapping and land surveying capabilities. As federal agencies continue to modernize critical infrastructure and engineering operations, we believe this drone is well-positioned to deliver the mission-critical data and operational efficiency increasingly in demand."
Management believes there are many U.S. government and defense agencies with growing requirements for secure, NDAA-compliant drone solutions to support a variety of applications. As well as land surveying and geospatial mapping, these include terrain modeling, construction planning, airfield and base mapping, utility and asset management, environmental monitoring, and disaster response needs. The IQ Quad platform capability to quickly and efficiently collect high-resolution geospatial data positions it to support mission-critical engineering, installation management, and infrastructure modernization initiatives across the U.S. defense ecosystem.
The IQ Quad is a compact multi-mission quadcopter designed for rapid deployment and precision geospatial data collection across government and infrastructure environments. The platform is engineered for advanced mapping, land surveying, terrain modeling, infrastructure inspection, construction planning, and environmental monitoring applications. It features a modular and interchangeable payload architecture for high-resolution imaging, AI-assisted autonomy, and secure communications capabilities designed for field operations in complex environments.
ZenaDrone currently has three drone platforms in the multi-month process of evaluation for the Green-to-Blue UAS certification administered by the Association for Uncrewed Vehicle Systems International (AUVSI) and the DoD. The certification process, in part, verifies that advanced cybersecurity controls and supply-chain documentation are in place, with only domestic or cleared suppliers. Blue UAS certification establishes National Defense Authorization Act (NDAA) compliance and clears a “made in America” drone manufacturer for direct procurement by U.S. defense agencies, federal departments, and allied government buyers.

ZenaTech Reports Annualized Revenue Run Rate of Approximately CAD $33 Million Based on First Quarter 2026 Revenue
Derived from first quarter results of CAD $8.3M multiplied by four, it reflects completed DaaS acquisitions contribution and continued drone workflow integration across the company’s portfolio
Vancouver, British Columbia, (June 30, 2026) — ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) ("ZenaTech"), a technology company specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today reports that its 2026 annualized revenue run rate is approximately CAD $33 million. This is based on a simple annualized calculation of first quarter 2026 results (the three months ended March 31, 2026) of CAD $8.3 million multiplied by four.
“Our first quarter revenue reflects the strength of our DaaS model and the contribution of the acquisitions we have been in the process of integrating over the past year,” said Shaun Passley, Ph.D., ZenaTech CEO. “Annualizing the quarter puts us at roughly CAD $33 million, and we view that as a baseline rather than a ceiling. We have completed several acquisitions during the period, which will contribute a full twelve months of revenue for the first time later in the year. Our DaaS acquisition pipeline remains active, and our recently disclosed Partnership Acquisition Program is progressing with the kind of founder-led, profitable companies we want on the platform.”
The annualized revenue run rate is derived by multiplying first-quarter 2026 revenue by four, and is for illustrative purposes only. It is intended to demonstrate the current revenue scale of the Company's operations following the completion of its DaaS acquisitions. It should not be interpreted as management's financial guidance or forecast for fiscal 2026.
ZenaTech’s primary revenue engine remains the DaaS segment, through which the Company acquires operationally mature but under-digitized service businesses and integrates its ZenaDrone proprietary drone platforms and AI analytics into their workflows. The Company continues to target land survey and geospatial mapping, infrastructure and asset inspection, and exterior building cleaning businesses — sectors where drone-enabled service delivery can provide an immediate productivity advantage. As drone utilization deepens within each portfolio company, ZenaTech anticipates revenue expansion through capacity growth, contract upsell, new drone-derived data product lines, and improved operating margins.
Several acquisitions completed during fiscal 2025 and the first half of fiscal 2026 contributed only partial-year revenue in the periods they closed. These businesses are expected to contribute a full twelve-month revenue run rate for the first time during the balance of fiscal 2026.
In May 2026, ZenaTech announced a Partnership Acquisition Program, through which the Company is pursuing acquisitions of established, founder-led, profitable businesses in four core verticals: defense technology and unmanned systems, enterprise SaaS and productivity software, AI infrastructure and applied AI, and specialty manufacturing and supply chain. The Company has entered into non-binding letters of intent and term sheets as discussions progress toward potential definitive agreements.

The testing program consists of putting the IQ Aqua drone through both controlled aquatic environments and natural, open water bodies, allowing the engineering team to validate the drone’s stability, maneuverability, sensors and autonomous navigation across a range of real-world operating conditions ahead of broader testing and next version deployment.
"Moving from prototype to structured field testing in a matter of weeks demonstrates the speed at which our team is executing on the IQ Aqua program," said Shaun Passley, Ph.D., ZenaTech CEO. "Underwater mine detection is one of the most pressing gaps in modern maritime warfare as mines are inexpensive to deploy and dangerous and costly to clear using traditional manned methods, and militaries around the world are actively looking for autonomous alternatives. That urgency translates into real demand, and we believe IQ Aqua positions us to capture a meaningful share of an underwater drone market that is expected to grow to over $16 billion over the next decade. Every test run mission in Pensacola gets us closer to giving global defense forces a platform to fill a need in one of the fastest-growing segments in defense technology."
The IQ Aqua is designed to extend ZenaDrone’s IQ series family of autonomous air, land, and water-surface drones into underwater operations, with a primary focus on defense applications, including undersea mine detection and countermeasure support, covert underwater intelligence, surveillance, reconnaissance (ISR), and port and harbor threat detection. The platform is also being developed for commercial use, including autonomous inspection of energy pipelines, bridges, and other maritime infrastructure, offering an alternative to costly and higher-risk diver or manned-vessel deployments.
In parallel with the Pensacola testing program, ZenaDrone is advancing development of the IQ Aqua Version 2, with the team currently ordering components and preparing for assembly at ZenaDrone’s manufacturing facility in the United Arab Emirates, with completion targeted in the coming weeks. Version 2 is being engineered to be faster than the current prototype, incorporating a different propulsion system intended to improve speed and operational range designed for future defense and commercial deployments.
The global underwater drone market is projected to exceed $16 billion USD by 2034, according to Global Market Insights, with defense and security applications representing the fastest-growing segment of that market. The Company plans to target U.S. defense customers, NATO partners, and U.S. allied Gulf nations as well as commercial customers. ZenaTech and will provide additional updates as new developmental and testing milestones are achieved.
