On August 26, 2025, Andrea Paul informed the Board of Directors of Zentalis Pharmaceuticals, Inc. (“Zentalis” or the “Company”) of her intent to resign as Chief Legal Officer and Corporate Secretary of the Company, effective as of September 18, 2025, in order to join the partnership of a large, international law firm. Following her resignation from this role, Ms. Paul will remain a non-executive employee of the Company through October 1, 2025. The Company and Ms. Paul expect to enter into a release agreement, pursuant to which Ms. Paul will be entitled to payment of her 2025 target annual bonus and continued vesting of her equity awards during a transitional services period, after which certain awards will vest in full.
