Rhea-AI Filing Summary

Zentek Ltd. (ZTEK) clarified that its common shares are expected to begin trading on the OTC Markets at the open of trading on Wednesday, September 2, 2026. The original communication had the correct date but misstated the day of the week.

The shares previously traded on Nasdaq and are expected to be quoted initially on an OTC Markets tier while Zentek’s application for quotation on the OTCQX Best Market is reviewed. The company expects a new U.S. OTC trading symbol, different from “ZTEK”, to be confirmed and published before quotation begins. Zentek’s common shares continue to trade on the TSX Venture Exchange under the symbol ZEN, which remains the primary listing and is unaffected. Share counts, certificates, and book-entry positions are unchanged, and shareholders are not required to take any action.

Positive

  • None.

Negative

  • U.S. trading moving from Nasdaq to OTC with no assurance of relisting on Nasdaq and a stated risk that over-the-counter trading may be less liquid than trading on a national securities exchange.

Filing Explained

The initial OTC quotation remains expected for September 2, while OTCQX admission and any Nasdaq relisting remain unresolved.

Zentek reports that its application for OTCQX quotation has been submitted, with related filings made and fees paid, but OTC Markets Group has not yet decided whether to admit the shares.

The filing also says the company intends to request a hearing before a Nasdaq Hearings Panel, while stating there is no assurance that the shares will be relisted or regain compliance with Nasdaq requirements.

The company identifies a further holder-facing uncertainty: U.S. over-the-counter trading may be less liquid than trading on a national securities exchange.

Expected OTC Markets trading start date September 2, 2026 Expected date Zentek common shares begin OTC quotation, at market open
Primary listing symbol ZEN on TSX Venture Exchange TSX Venture Exchange remains the company’s primary listing, unaffected by OTC move
Former U.S. exchange symbol ZTEK on Nasdaq Common shares previously traded on the Nasdaq exchange under this symbol
OTCQX application status Applied Application, filings, and fees for OTCQX Best Market quotation have been submitted
OTC Markets market
"common shares are expected to begin trading on the OTC Markets at the open"
Over-the-counter (OTC) markets are trading venues where buyers and sellers deal directly through dealers or electronic networks instead of on a formal exchange; think of a neighborhood flea market versus a supermarket. They matter to investors because OTC-listed stocks often represent smaller or international companies with fewer reporting requirements, which can mean lower liquidity, wider price swings and higher risk but sometimes earlier access to growth opportunities.
OTCQX Best Market market
"The Company has applied for quotation of its common shares on the OTCQX Best Market"
OTCQX Best Market is the top tier of an over‑the‑counter (OTC) trading platform where companies voluntarily meet higher disclosure and governance standards than typical OTC listings. For investors, it signals relatively better transparency and oversight—think of it as a premium section of a flea market where sellers show more paperwork—yet these stocks still carry more liquidity and regulatory risk than listings on major national exchanges.
TSX Venture Exchange market
"The Company's common shares also trade on the TSX Venture Exchange under the symbol ZEN"
A junior stock exchange in Canada where smaller, early-stage companies list shares to raise capital and gain public visibility. Think of it as a farmers’ market for young businesses: it offers investors a chance to buy into fast-growing but higher-risk ventures, with looser listing rules and typically lower liquidity than major exchanges. It matters because performance and financing on this exchange can signal growth prospects or risk for investors.
forward-looking information regulatory
"This news release contains "forward-looking information" within the meaning"
Forward-looking information are predictions, plans, estimates or expectations about a company’s future performance, results or events, such as sales forecasts, project timelines, or anticipated costs. It matters to investors because these statements guide expectations but rely on assumptions and uncertain factors—like a weather forecast for a business—so investors should treat them as informed guesses rather than guarantees and consider the risks and possible changes behind the numbers.
Nasdaq Hearings Panel regulatory
"the Company's intention to request a hearing before a Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.

99.1 Press Release dated August 31, 2026 - Zentek Corrects Day of Week for OTC Markets Trading Start Date

FOR IMMEDIATE RELEASE

Zentek Corrects Day of Week for OTC Markets Trading Start Date
TSX Venture Exchange listing, the Company's primary listing, is unaffected

GUELPH, ONTARIO - August 31, 2026 - Zentek Ltd. ("Zentek" or the "Company") (TSXV: ZEN) (Nasdaq: ZTEK) is issuing this release to correct one item in its news release of August 28, 2026 regarding the Company's OTC listing status. That release stated that the Company's common shares would begin trading on the OTC Markets at the open of trading on "Tuesday, September 2, 2026."  September 2, 2026, is a Wednesday, the date was stated correctly; the day of the week accompanying it was not.

For clarity: the Company's common shares are expected to begin trading on the OTC Markets at the open of trading on Wednesday, September 2, 2026.

The OTC quotation process

The Company is providing the following to explain the sequence as it involves two separate steps that occur at different times. Quotation of a company's shares in the United States over the counter begins on an initial tier of the OTC Markets.

Admission to the OTCQX Best Market is a separate application, and the determination is made by OTC Markets Group.

The Company has applied for quotation of its common shares on the OTCQX Best Market. The application has been submitted, the associated filings made and the application fees paid. Until that determination is made, the Company's common shares previously traded on the NASDAQ exchange are expected to be quoted on an initial tier from the open of trading on Wednesday, September 2, 2026.

The Company will announce the outcome of the OTCQX application when it is determined. The Company expects to receive confirmation of its OTCQX U.S. trading symbol and will publish that symbol before quotation begins. Shareholders should note that the symbol is expected to be different from "ZTEK" which is the NASDAQ symbol.

The Company's common shares also trade on the TSX Venture Exchange under the symbol ZEN, the TSX Venture Exchange is the Company's primary listing and is unaffected. Shareholders are not required to take any action. The number of shares held by each shareholder is unchanged and share certificates and book-entry positions are unaffected.

No other information in the August 28, 2026, news release has changed. That release remains accurate in all other respects and should be read together with this correction.
