american depositary shares financial
"offering of 6,400,000 American Depositary Shares (“ADSs”), each representing one ordinary"
American depositary shares (ADSs) are a way for investors in the United States to buy shares of foreign companies without dealing with international markets directly. They represent ownership in a foreign company's stock and are traded on U.S. stock exchanges, making it easier for American investors to buy, sell, and own parts of companies from around the world.
over-allotment option financial
"Following the exercise in full of the over-allotment option, the total number of ADSs issued"
An over-allotment option is a special agreement that allows underwriters to sell more shares than initially planned if demand is high. Think of it like a retailer offering extra units of a popular product to meet additional customer interest. This option helps ensure the full sale is completed and can also give investors extra shares if they want more.
volume weighted average price financial
"is equal to the volume weighted average price of the Ordinary Shares on the regulated"
The volume weighted average price (VWAP) is a way to measure the average price of a security, such as a stock, over a specific period, taking into account how many units were traded at each price. It’s similar to calculating the average cost of items bought when some are more frequently purchased than others. Investors use VWAP to assess whether a security is being bought or sold at a fair price during trading.
automatic shelf registration statement regulatory
"An automatic shelf registration statement on Form F-3 (including a prospectus) relating"
An automatic shelf registration statement is a pre-approved filing that companies submit to securities regulators, allowing them to sell new shares or bonds quickly and efficiently when needed. It acts like a standing permit, enabling the company to raise money without going through a lengthy approval process each time, which can be helpful for responding promptly to market opportunities or needs. For investors, it provides transparency about the company's ability to raise funds and signals planning flexibility.
prospectus supplement regulatory
"file with the SEC a final prospectus supplement (and accompanying prospectus) describing"
A prospectus supplement is an additional document provided alongside a company's main offering details, offering updated or extra information about a specific financial product being sold. It helps investors understand the latest terms, risks, and details of the investment, similar to how an update or revision clarifies or expands on original instructions, ensuring they have current and complete information before making a decision.
stabilization activities financial
"Leerink Partners, acting as the stabilizing agent on its own behalf and on behalf of the other underwriters, reported that no stabilization activities had been carried out"
Stabilization activities are temporary steps taken by the banks or sellers managing a new or secondary share offering to prevent the stock price from dropping sharply after it starts trading. Think of it as a short-term safety net—these buyers may purchase shares or exercise options to keep the price steady—so investors see less wild swings while the market finds a natural price. Such actions can affect early trading and short-term liquidity.
