REDWOOD CITY, Calif.--(BUSINESS WIRE)-- Adicet Bio, Inc. (Nasdaq: ACET), a clinical stage biotechnology company discovering and developing allogeneic gamma delta CAR T cell and in vivo CAR T therapies for autoimmune diseases, hematologic malignancies and solid tumors, today announced it granted an inducement award on August 31, 2026.

One individual was hired by Adicet in August 2026 and granted new hire non-qualified stock options to purchase 1,500 shares of Adicet’s common stock with an exercise price of $8.70 per share, the closing price of Adicet’s common stock as reported by Nasdaq on August 31, 2026. One-fourth of the shares underlying the employee’s option will vest on the one-year anniversary of the employee’s start date and thereafter the remaining three-fourths of the shares underlying the employee’s option will vest in thirty-six substantially equal monthly installments, such that the shares underlying the option granted to the employee will be fully vested on the fourth anniversary of the employee’s start date, subject to the employee’s continued employment with Adicet on such vesting dates.

The above-described award was granted outside of Adicet’s stockholder-approved equity incentive plans pursuant to Adicet’s 2022 Inducement Plan (the Inducement Plan), which was adopted by the board of directors in January 2022 and subsequently amended in January 2023. The award was authorized by the compensation committee of the board of directors, which is comprised solely of independent directors, as a material inducement to the employee entering into employment with Adicet in accordance with Nasdaq Listing Rule 5635(c)(4).

Key Terms

non-qualified stock options financial
Non-qualified stock options are a type of employee benefit that gives individuals the right to buy company shares at a set price, usually lower than the market value, within a certain period. Unlike other options that may have special tax advantages, these options are taxed as income when exercised, which can affect how much money the employee or investor ultimately gains. They are important because they can influence company compensation strategies and impact the financial outcomes for employees and investors.
inducement plan financial
An inducement plan is a program a company creates to encourage employees or new hires to stay or join by offering special benefits or rewards. It’s like a company giving extra bonuses or perks to persuade someone to choose their job over others, helping the company attract and keep talented workers.
allogeneic gamma delta CAR T cell technical
A donor-derived (allogeneic) gamma delta CAR T cell is an immune cell therapy made from gamma delta T cells — a small, naturally occurring subset of T lymphocytes with a different recognition system than the common alpha-beta T cells — that has been genetically engineered to carry a chimeric antigen receptor (CAR) that directs the cell to recognize and kill specific diseased cells. It matters to investors because this approach aims to create off-the-shelf, programmable immune cells with distinct biology from conventional CAR T products, which influences clinical strategy, manufacturing complexity, and potential market opportunities.
Nasdaq Listing Rule 5635(c)(4) regulatory
NASDAQ Listing Rule 5635(c)(4) is a rule that requires a company to get approval from its shareholders before selling a large amount of its shares, usually over 20%. This helps protect investors by making sure the company doesn't flood the market with new shares without their say, which could lower the stock's value.
