Acorn Energy (ACFN), through its OmniMetrix subsidiary, acquired substantially all assets of Generator Solutions, provider of Gen-Tracker standby generator monitoring, effective September 9, 2026, for total consideration of $3.5M.
The deal includes $1.0M cash at closing, four annual cash payments of $450,000, and a final $700,000 payment in year five. Generator Solutions contributes approximately $1.1M in recurring annual monitoring revenue and $400,000 in annual monitoring equipment sales, plus customer accounts, dealer relationships, technology, receivables and inventory. All full-time Generator Solutions employees join OmniMetrix and remain in Minnesota. Gen-Tracker’s ATS-based universal monitoring complements OmniMetrix’s controller-level platform, expanding coverage to virtually any generator make, model or age. Based on OmniMetrix’s first-half 2026 monitoring revenue of $2.8M, the company expects at least a 15% increase in annualized monitoring revenue and at least $0.10 per diluted share accretion to 2027 net income.
Acorn Energy (Nasdaq: ACFN) acquired the remaining outstanding 1% ownership interest in its principal operating subsidiary OmniMetrix, bringing its stake to 100%. The 1% interest was purchased from former OmniMetrix CEO Walter Czarnecki in exchange for 25,096 newly issued Acorn common shares, equal to approximately 1% of Acorn’s pre-transaction shares.
