Key Terms

transactional risk insurance financial
An insurance policy bought to protect buyers or sellers in a corporate deal from financial losses tied to specific transaction risks, such as breaches of representations and warranties, undisclosed liabilities, tax issues, or known legal exposures. Think of it as a safety net that transfers certain post-closing risks from the parties to an insurer, which can affect how much money is held back, how much indemnity is needed, and the perceived certainty and cost of completing a deal—factors investors watch closely.
transactional liability financial
Transactional liability is a legal or financial obligation that arises from a specific business deal—such as a merger, acquisition, asset sale, or contract—covering things like unpaid taxes, breach of representations, contract obligations, or other contingent claims tied to that transaction. It matters to investors because these post-deal obligations can create unexpected costs or losses that change the value of the investment, similar to buying a house and later discovering unpaid bills or repairs the buyer must cover.
representations & warranties financial
Representations and warranties are factual statements and assurances parties make in a contract about the current or past state of a business, assets, or operations (representations) and the promise that those facts are true or will be honored (warranties). Think of it like a seller describing a used car and guaranteeing key parts work; for investors, these clauses allocate risk, signal what liabilities or problems might be hidden, and define remedies or compensation if the statements prove false.
m&a financial
M&A, short for mergers and acquisitions, involves one company combining with or purchasing another company to grow, streamline operations, or gain competitive advantages. For investors, M&A activity can signal potential for increased value, new opportunities, or changes in market dynamics, making it an important factor to watch in the business landscape.
mga financial
A Managing General Agent (MGA) is a specialized insurance intermediary that acts like a local franchisee for an insurer: it can sell policies, set pricing within agreed limits, and often handle claims and underwriting decisions on the insurer’s behalf. Investors care because an MGA can rapidly grow premium revenue and profits with lower capital needs for the insurer, but it also concentrates operational and underwriting risk outside the insurer’s direct control.
mgu financial
A Managing General Underwriter (MGU) is a specialist firm given authority by an insurance company to create, price and issue insurance policies on its behalf. For investors, an MGU can speed growth and improve profit margins by acting like a trusted local franchise that brings underwriting expertise, customer access and efficiency without the insurer adding as much staff or capital, but it also concentrates risk through that third party.

William Carson to lead U.S.-based team as Arch broadens distribution strategy

NEW YORK--(BUSINESS WIRE)-- Arch Insurance North America (Arch Insurance, Arch) today announced the expansion of its Transactional Risk Insurance Product capabilities through the launch of a new U.S.-based transactional liability team that complements Arch's existing worldwide transactional risk business.

"Arch has been an active participant in the transactional risk market for more than 15 years through MGA and MGU partners and a variety of channels across North America, Bermuda and the United Kingdom,” said Anne Hardner, Executive Vice President, Executive Assurance for Arch Insurance. “Our direct U.S. platform complements our existing distribution model and reflects Arch's broader commitment to the transactional risk marketplace. This multi-channel approach allows us to expand our capabilities, strengthen our market presence and better serve brokers and clients.”

The business will initially focus on providing Representations & Warranties and Tax coverage products, and be led by William Carson, Senior Vice President, Transactional Risk. Carson recently joined Arch from Everest where he served as Head of Transactional Risk, North America. He reports to Chris Christon, Senior Vice President, Executive Assurance.

“We value the partnerships we have built across the transactional risk ecosystem and remain committed to supporting our MGA and MGU partners long-term," said Christon. “Will and his team bring exceptional market expertise, deep broker and legal relationships and a proven track record in transactional risk underwriting. Their experience will help accelerate our growth while maintaining the disciplined approach that defines Arch.”

"Transactional risk insurance has become an important part of today's M&A landscape, and Arch is uniquely positioned to deliver the financial strength, underwriting discipline and long-term commitment that brokers and clients increasingly value,” said Carson. "Clients, brokers and their legal advisors want more than competitive pricing. They want an underwriting partner that can move quickly, understand transaction complexity and stand behind its commitments when claims arise. Our goal is to deliver a high-quality experience across the transaction lifecycle while maintaining a disciplined approach to risk selection and portfolio management."
