TEMPE, Ariz.--(BUSINESS WIRE)-- Align Technology, Inc. (“Align”) (Nasdaq: ALGN), a leading global medical device company that designs, manufactures, and sells the Invisalign® System of clear aligners, iTero™ intraoral scanners, and exocad™ CAD/CAM software for digital orthodontics and restorative dentistry, today announced that it has entered into a new accelerated stock repurchase agreement (“ASR”) with Goldman Sachs & Co. LLC (“Goldman Sachs”), to repurchase $270 million of Align’s common stock under Align’s $1.0 billion stock repurchase program that was approved by Align’s Board of Directors in April 2025.

“This $270 million accelerated stock repurchase fulfills the share repurchase commitment we announced in July and is expected to bring our total 2026 share repurchases to approximately $500 million,” said John Morici, Align CFO and executive vice president, global finance. “This transaction reflects the confidence of our Board and management in Align’s long-term value. Our strong balance sheet and consistent cash generation profile provide us with the flexibility to return capital to stockholders while continuing to invest in the growth, innovation and productivity initiatives that support our long-term strategy.”

Under the terms of the ASR, Align will make a prepayment of $270 million to Goldman Sachs. The final number of shares to be repurchased will be based generally on the volume-weighted average price of Align common stock during the term of the ASR, less an agreed upon discount. The ASR transaction is expected to be completed on or about by December 29, 2026, although completion may occur earlier in certain circumstances. The ASR will be funded with Align’s cash on hand.

Following the $270 million ASR, Align expects approximately $330 million to remain available for future repurchases under the $1.0 billion stock repurchase program. As of September 30, 2026, Align had approximately $1.145 billion in cash and cash equivalents.

Key Terms

accelerated stock repurchase agreement financial
An accelerated stock repurchase agreement is a deal where a company buys a large block of its own shares immediately from an investment bank, while the final number and price are adjusted later based on the stock’s actual market performance. Think of it like paying a wholesaler to deliver inventory now and reconciling the bill when actual prices are known; for investors it quickly cuts the share count, can boost per‑share metrics and signal confidence, but also changes cash use and can create short‑term trading and pricing effects.
volume-weighted average price financial
Volume-weighted average price (VWAP) is the average price of a stock over a specific time period where each trade is weighted by the number of shares traded, so larger trades influence the average more than small ones. Investors and traders use VWAP as a reference point to judge whether trades are happening at relatively good or poor prices—like checking the average price paid for an item at a market where bulk purchases count more than single-item buys.
