Key Terms

underwritten public offering financial
An underwritten public offering is when a company sells new shares of its stock to the public with the help of a financial firm, called an underwriter. The underwriter agrees to buy all the shares upfront, reducing the company's risk, and then sells them to investors. This process helps companies raise money quickly and confidently from a wide range of buyers.
selling stockholder financial
A selling stockholder is an individual or entity that owns shares of a company's stock and chooses to sell some or all of those shares to others. This often occurs when the owner wants to cash in on their investment or reduce their stake. For investors, understanding who the selling stockholder is can provide insights into potential changes in the company's ownership or market activity.
share repurchase financial
A share repurchase is when a company uses cash to buy its own shares from the market, reducing the number of shares available to outside investors. Like a homeowner buying back rooms in a shared house to increase their own stake, repurchases can raise earnings per share and often signal management thinks the stock is undervalued, but they also use up cash that could have gone to dividends, investments, or debt reduction — all important considerations for investors.
registration statement regulatory
A registration statement is a formal document that companies file with a government agency to offer new shares of stock to the public. It provides essential information about the company's finances, operations, and risks, helping investors make informed decisions. Think of it as a detailed product description that ensures transparency and trust before buying into a company.

RIPON, Wis.--(BUSINESS WIRE)-- Alliance Laundry Systems (NYSE: ALH) (“Alliance Laundry” or the “Company”), the global leader in commercial laundry equipment, today announced an underwritten public offering (the “Offering”) of 20,500,000 shares of its common stock by its principal stockholder, BDT Capital Partners, LLC and its affiliated investment funds (collectively, the “selling stockholder”), which individually and as a group are affiliates of BDT & MSD Partners. The selling stockholder intends to grant the underwriters a 30-day option to purchase up to an additional 3,075,000 shares of the Company’s common stock. Alliance Laundry will not sell any shares of its common stock in the Offering and will not receive any proceeds from the sale of the shares of its common stock being offered by the selling stockholder. The Offering is subject to market and other conditions, and there can be no assurance as to whether or when the Offering may be completed.

As part of the Offering, the Company intends to purchase from the underwriters shares of common stock at a price per share equal to the price per share at which the underwriters will purchase shares of common stock from the selling stockholder for an aggregate repurchase price of approximately $75 million (the “Share Repurchase”), subject to the completion of the Offering. The underwriters will not receive any underwriting fees for the shares being repurchased by the Company. The completion of the Share Repurchase is conditioned upon the completion of the Offering.

BofA Securities and J.P. Morgan are acting as joint book-running managers for the Offering.
