The extension granted to Allarity Therapeutics by Nasdaq to regain compliance with its listing rules is a pivotal development for the company's financial stability and investor confidence. The Bid Price Rule, requiring a minimum bid price of $1.00 per share and the Equity Rule, mandating a stockholders' equity of at least $2.5 million, are fundamental criteria for maintaining a listing on the Nasdaq exchange. Failure to meet these requirements can result in delisting, which typically leads to reduced liquidity and investor interest.

Allarity's strategic plan, which includes cost reduction and potential conversion of liabilities, alongside seeking additional capital, indicates a proactive approach to addressing their financial challenges. This is a positive signal to investors that the company is taking concrete steps towards improving its financial health. However, the success of these measures will depend on the company's ability to execute them effectively and the response from the market.

Investors should monitor the stock's performance closely, especially the bid price, in the upcoming period. Sustaining a bid price above $1.00 for at least ten consecutive business days is a critical hurdle. The company's ability to attract strategic financing will also be key in determining its future prospects and ability to maintain its Nasdaq listing in the long term.

The situation of Allarity Therapeutics provides a broader perspective on the challenges faced by clinical-stage pharmaceutical companies in maintaining compliance with stock market regulations. The sector is inherently capital-intensive, with significant funds required for research and development, especially in the field of personalized cancer treatments that Allarity is pursuing. The need for continuous capital is paramount and the ability to raise it can be hampered by non-compliance with exchange regulations.

Market perception of Allarity's financial health and operational efficiency will be critical in the coming months. The company's efforts to reduce operating costs and potentially convert liabilities are essential for improving its financial metrics, but these steps must be balanced against the risk of undermining the company's growth potential or R&D capabilities.

From a market research perspective, the strategic financing Allarity is seeking could come from partnerships, licensing deals, or equity offerings. Each of these options has different implications for existing shareholders and the company's valuation. The market's reaction to these potential developments will provide valuable insights into investor sentiment regarding Allarity's prospects and the viability of its business model.

From a legal standpoint, the extension provided by Nasdaq is a testament to Allarity Therapeutics' ability to present a convincing strategic plan that adheres to the regulatory framework. The company's proactive engagement with Nasdaq demonstrates a commitment to transparency and regulatory compliance, which are critical for maintaining the trust of investors and the broader market.

It is important to note that while the extension has no immediate effect on the listing or trading of Allarity's Common Stock, the long-term implications of failing to meet the compliance requirements by the newly set deadline could be substantial. Delisting from a major exchange like Nasdaq can lead to a host of legal and financial complications, including diminished investor confidence and potential class action lawsuits from shareholders.

Investors should be aware of the legal processes involved in regaining compliance and the consequences of not achieving it. The company's disclosure of its compliance plan and subsequent progress reports will be scrutinized for adherence to both the letter and spirit of the exchange's regulations. This ongoing legal compliance narrative will likely influence investor perceptions and the company's ability to maintain its listing status.

Boston (March 25, 2024) — Allarity Therapeutics, Inc. (“Allarity” or the “Company”) (NASDAQ: ALLR), a clinical-stage pharmaceutical company dedicated to developing personalized cancer treatments, today announced that the Company has been granted a formal extension until April 24, 2024 to regain compliance under Nasdaq Listing Rules 5550(a)(2) (the “Bid Price Rule”) and 5550(b)(1) (the “Equity Rule”) or any of the alternative requirements in Listing Rule 5550(b).

The granting of the extension follows a proactive effort by the Company to address compliance deficiencies and the presentation of a strategic plan to the Nasdaq Hearings Panel on February 1, 2024. The plan contained both immediate and sustained measures aimed at ensuring compliance with both the Bid Price Rule and the Equity Rule.

To ensure compliance with the rules of The Nasdaq Capital Market (“Nasdaq”) by April 24, 2024, or sooner, the Company is working towards achieving a stockholders' equity of at least $2.5 million and a minimum bid price of $1.00 per share or more for a minimum of 10 consecutive business days. The plan presented encompasses a series of decisive steps, including a comprehensive review and reduction of operating costs, the potential conversion of existing liabilities, and the pursuit of additional capital through separate sources of short-term and longer-term strategic financing. This multifaceted plan is currently being implemented and not only aims to meet Nasdaq’s immediate compliance requirements but also to strengthen the Company’s general financial position and operational efficiency.

Interim CEO Thomas Jensen stated, “We interpret this as Nasdaq's recognition of our efforts and confidence in our ability to execute this plan effectively. We are determined to attempt to fulfill these compliance measures promptly, reaffirming our responsibility to our shareholders to keep advancing the company towards our goal of developing novel personalized cancer treatments.”

Nasdaq's extension notice has no immediate effect on the listing or trading of Allarity’s Common Stock, which will continue to trade on Nasdaq under the symbol "ALLR."

About the Drug Response Predictor – DRP® Companion Diagnostic
Allarity uses its drug-specific DRP® to select those patients who, by the expression signature of their cancer, are found to have a high likelihood of benefiting from a specific drug. By screening patients before treatment, and only treating those patients with a sufficiently high, drug-specific DRP score, the therapeutic benefit rate may be significantly increased. The DRP method builds on the comparison of sensitive vs. resistant human cancer cell lines, including transcriptomic information from cell lines combined with clinical tumor biology filters and prior clinical trial outcomes. DRP is based on messenger RNA expression profiles from patient biopsies. The DRP® platform has proven its ability to provide a statistically significant prediction of the clinical outcome from drug treatment in cancer patients in 37 out of 47 clinical studies that were examined (both retrospective and prospective). The DRP platform, which can be used in all cancer types and is patented for more than 70 anti-cancer drugs, has been extensively published in the peer-reviewed literature.
