News Explained

The subscribed amount equals 627.5 days of first-quarter operating cash use, while share issuance remains subject to reconciliation and closing.

The Series A rights offering reached the point where all rights were exercised or expired on July 18, 2026, but final reconciliation and closing procedures remain; AmpliTech expects to issue approximately 4,384,163 new common shares.

If issued, those shares would increase the total share count and reduce an existing holder’s percentage ownership, absent offsetting changes.

The $21.9 million amount therefore identifies subscriptions pending final reconciliation, not a completed issuance or closed offering.

On the same latest-quarter operating-cash-use basis, the offering gross equals 627.5 days, versus 338.4 days for cash and equivalents as of March 31, 2026.

4 terms
rights offering financial
"received subscriptions totaling approximately $21.9 million for its Series A Rights Offering"
A rights offering is a way for a company to raise additional money by giving existing shareholders the opportunity to buy more shares at a discounted price before they are offered to the public. It’s similar to a special sale where current owners get the first chance to buy extra items at a lower cost, allowing them to increase their investment if they choose. This process matters to investors because it can affect the value of their holdings and their ability to buy new shares at favorable terms.
View in glossary
dealer manager financial
"engaged Moody Capital Solutions, Inc. to act as dealer manager"
A dealer manager is a financial firm — often a broker-dealer or investment bank — that organizes, markets and coordinates the sale of a new securities offering (such as bonds or structured products) to other brokers and investors. Think of it as the project manager and sales team for the deal: its pricing choices, marketing reach and allocation decisions influence how widely the issue is distributed, how competitively it is priced, and how easy it is for investors to buy or sell afterward.
prospectus supplement regulatory
"The prospectus supplement relating to these securities is filed with the SEC"
A prospectus supplement is an additional document provided alongside a company's main offering details, offering updated or extra information about a specific financial product being sold. It helps investors understand the latest terms, risks, and details of the investment, similar to how an update or revision clarifies or expands on original instructions, ensuring they have current and complete information before making a decision.
open ran technical
"acceleration of AI RAN and Open RAN wireless opportunities"
Open RAN is an approach to building the radio part of mobile networks that breaks the system into standard, swappable pieces so equipment from different suppliers can fit together, like using Lego bricks instead of one molded toy. For investors, it can mean lower equipment costs, more supplier competition and faster innovation — but also potential integration and security risks that can affect telecom vendors, operators and capital spending plans.
