Insights
IGT's transformation to Brightstar Lottery represents a strategic pivot to pure-play lottery business, completing major corporate restructuring.
The rebranding of IGT's lottery division to Brightstar Lottery marks the final phase of a significant corporate transformation. This strategic maneuver positions the company as a pure-play lottery specialist, shedding its gaming and digital segments through the sale to Apollo Global Management-managed funds.
This transaction reflects a deliberate focus on the lottery segment, which has been part of the company's DNA for nearly five decades. The timing is particularly strategic as the lottery industry undergoes digital transformation and evolving consumer preferences. By concentrating exclusively on lottery operations, Brightstar can direct all its innovation capabilities and capital investments toward this specific market without competing priorities from gaming segments.
The company's substantial market footprint is impressive—serving nearly 90 lottery customers globally, including 26 of 46 U.S. lottery jurisdictions and 7 of the world's 10 largest lotteries. This established base provides a stable foundation for growth and recurring revenue. Investors should note the ticker symbol will change to BRSL around July 2, 2025, concurrent with the transaction closing.
This transformation effectively creates two distinct entities: Brightstar focusing purely on lottery, while the Apollo-acquired gaming and digital business will retain the IGT name and brand identity. This clean separation allows each business to pursue specialized strategies in their respective markets without the complications of operating in both sectors simultaneously.
Company will become a premier pure play global lottery business upon completion of its sale of IGT Gaming
Upon completion of the sale of IGT's Gaming and Digital business ("IGT Gaming"), which is expected to occur as early as July 1, 2025, to Voyager Parent, LLC, a holding company owned by funds managed by affiliates of Apollo Global Management, Inc. (NYSE: APO) (the "Buyer"), Brightstar will be a premier pure play lottery business designed to elevate lotteries and inspire players.
The new Brightstar brand invokes the Company's forward-thinking global leadership in the lottery industry, acting as a guiding light and source of inspiration and innovation for lottery customers and players.
"We have a nearly 50-year history of reliability, innovation, and leadership in lottery, a bedrock from which we are launching Brightstar with a future-forward mindset of helping lottery customers around the world succeed in an environment of digital adoption, shifting player expectations, and an increasing variety of gaming choices," said Vince Sadusky, CEO of Brightstar.
"Brightstar will be well-positioned to focus on driving innovation and growing the potential of the lottery business responsibly for the entertainment of players, the success of our customers, and the support of the good causes they fund in their communities," said Marco Sala, Executive Chair of the Board, Brightstar.
As Brightstar, the Company will build on its legacy of delivering unparalleled player experiences and results for its lottery customers around the globe and across the entire lottery value chain, including as a lottery operator, retail and digital systems and technology provider, full-service instant ticket services provider, and game creator.
