Key Terms

convertible debentures, key-person covenant, escrow receivable
3 terms
convertible debentures financial
"completed a restructuring of certain outstanding convertible debentures"
Convertible debentures are loans a company issues that pay interest like a bond but can be swapped later for the company’s shares at a set price. For investors they act like a safety-net plus a shortcut: you get regular interest payments while retaining the option to join ownership if the share price rises, which offers upside potential but can dilute existing shareholders if conversion occurs.
key-person covenant financial
"including a key-person covenant"
A key-person covenant is a clause in a loan or investment contract that identifies one or more executives or managers whose continued employment is considered important to the borrower’s ability to meet its obligations. If a named person leaves, becomes incapacitated, or is otherwise unavailable, the covenant lets lenders or investors demand remedies such as additional collateral, higher interest, restrictions on borrowing, or even repayment. Think of it like an insurance rule that protects lenders from the sudden loss of a company’s most important leader.
escrow receivable financial
"the reduction of the escrow receivable from one of the investors"
An escrow receivable is an amount a company expects to receive that is currently held by a neutral third party (escrow) until certain conditions are met, like finalizing a sale, meeting contractual obligations, or resolving a dispute. Think of it as money in a locked box with a promise you'll get it once agreed steps are completed; investors watch it because it affects a company’s reported assets and the timing of cash inflows.
