NASHVILLE, Tenn.--(BUSINESS WIRE)-- Bed Bath & Beyond, Inc. (NYSE: BBBY) (the “Company”), today announced that the Compensation Committee of the Company’s Board of Directors approved inducement awards to 18 new non-executive employees and one executive officer, in connection with their commencement of employment with the Company as the Company continues to build out leadership and growth.

The inducement awards were granted to these 19 new employees on August 6 and August 10, 2026, and consist of an aggregate of 2,051,654 restricted stock units (“RSUs”) and 688,295 performance stock units (“PSUs”) at target, with maximum performance representing 135% of target. Among the inducement awards were 388,889 RSUs and 166,667 PSUs granted to Brian LaRose, the Company’s Chief Financial Officer, as an executive officer.

The awards were granted under the Company’s 2026 Employment Inducement Equity Incentive Plan and in accordance with New York Stock Exchange Rule 303A.08 as a material inducement to employment with the Company. The RSUs generally vest in four annual installments, and the PSUs generally vest based on achievement of applicable performance targets over four annual performance periods, in each case subject to continued service.
