Beam Global Announces Termination of Agreement to Acquire ScoutDI

The termination leaves neither party owing fees, penalties or other financial liabilities as a result.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Beam Global (Nasdaq: BEEM) has terminated its agreement to acquire ScoutDI after the transaction missed its agreed closing deadline.

The acquisition of the Norwegian drone technology company, announced on October 7, 2026, did not close by the November 4, 2026 long-stop date. Beam attributed the missed deadline to unfavorable U.S. public market conditions, particularly for micro-cap companies.

No fees, penalties or other financial liabilities are due from either party as a result of the termination. ScoutDI will remain independent under its current ownership and management. Beam CEO Desmond Wheatley said ScoutDI was exceeding the initial performance expectations developed when the business combination was first contemplated. Additional termination information is available in Beam’s filed Form 8-K.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

SAN DIEGO, Nov. 06, 2026 (GLOBE NEWSWIRE) -- Beam Global (Nasdaq: BEEM), a leading provider of innovative and sustainable infrastructure solutions for energy storage and security, electrification of mobility, and smart city infrastructure, announces that the Share Purchase Agreement for the acquisition of Norwegian drone technology company ScoutDI, announced on October 7, 2026, has been terminated. The transaction did not close by the agreed long-stop date of November 4, 2026, as a result of current unfavorable conditions in the U.S. public markets. No fees, penalties, or other financial liabilities for either party are due as a result of the termination.

ScoutDI will continue as an independent company under its current ownership and management.

“ScoutDI is an excellent company with an excellent team and equally excellent products. They are currently exceeding our initial performance expectations developed when we first contemplated a business combination with them,” said Beam Global’s Chairman and CEO, Desmond Wheatley. “However, we do not believe that the current U.S. public market conditions, particularly for micro caps, are favorable for this acquisition at this time.”

Additional information about the termination of the Share Purchase Agreement is provided in a Current Report on Form 8-K filed by Beam Global with the U.S. Securities and Exchange Commission, which is available at www.sec.gov.
