Blockfusion (private) / Blue Acquisition (BACC) announced that Blockfusion subsidiary North East Data has signed a 15-year anchor lease and companion expansion agreement with CoreWeave (CRWV) for capacity at Blockfusion’s Niagara Falls, New York AI and high‑performance computing campus.
The definitive agreements replace a prior non‑binding letter of intent and include two additional five‑year renewal options. Blockfusion is converting a decommissioned power plant into a predominantly low‑carbon, high‑density, liquid‑cooled AI data center leveraging existing grid interconnection and hydroelectric power. The lease is described as an important step in Blockfusion’s proposed business combination with Blue Acquisition, which is expected, subject to customary closing conditions, to create Blockfusion Digital Infrastructure (ticker “BDI”) as a publicly traded pure‑play HPC and AI infrastructure platform on Nasdaq.
Blockfusion and Blue Acquisition (Nasdaq: BACC, to become BLDC) announced several milestones tied to their proposed business combination to form Blockfusion Digital Infrastructure.
Key items include a non-binding LOI for up to 300 MW of AI data center capacity, an estimated $2.8–$5.4 billion potential lease value on 85 MW of take-or-pay capacity, a $175 million proposed convertible note financing, a non-redemption term sheet for about $33 million of Blue’s trust, and land exclusivity to support more than 300 MW of capacity at the Niagara Falls campus, all subject to definitive documentation and closing of the business combination.
