As disclosed in the Company’s current report on Form 8-K filed on September 30, 2026, the Company intends to issue separate notices to holders of the Series H Preferred Stock on October 7, 2026 and to holders of the Series J Preferred Stock on October 14, 2026 in connection with their change of control conversion rights.
The terms and conditions of each series of preferred stock will remain unchanged for any shares that are not converted pursuant to the change of control conversion right in connection with the Transaction.
