Key Terms

decentralized finance, minimum bid price requirement, closing bid price
3 terms
decentralized finance technical
"bridging the gap between traditional capital markets and decentralized finance"
Decentralized finance, often called DeFi, is a way of using digital technology to offer financial services like lending, borrowing, and trading without relying on traditional banks or institutions. It operates on open networks where anyone can participate, much like a digital marketplace that runs on shared computer systems. For investors, DeFi provides more direct control over their assets and access to financial activities outside conventional systems.
minimum bid price requirement regulatory
"to regain compliance with Nasdaq's minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
closing bid price financial
"If, at any time during the additional compliance period, the closing bid price"
The closing bid price is the last price that a buyer was willing to pay for a security at the end of the trading day. It reflects the final visible demand for the stock — like the last offer someone makes for a used car before a yard closes — and helps investors gauge market interest, set valuations, and mark portfolios to market for that day.

DeFi Technologies Inc. Logo

The Company qualified for the additional compliance period because it satisfies the continued listing requirement for market value of publicly held shares and all other applicable initial listing standards for The Nasdaq Capital Market, other than the minimum bid price requirement. The Company has provided written notice of its intention to cure the deficiency during the second compliance period.

The notification has no immediate effect on the listing or trading of the Company's common shares, which will continue to trade on The Nasdaq Capital Market under the symbol "DEFT." If, at any time during the additional compliance period, the closing bid price of the Company's common shares is at least US$1.00 per share for a minimum of ten consecutive business days, Nasdaq will provide written confirmation that the Company has regained compliance, and the matter will be closed.

As previously disclosed, the Company received an initial notification from Nasdaq dated March 5, 2026, indicating that the minimum bid price per share of its common shares had been below US$1.00 for 30 consecutive business days as of March 4, 2026. The Company was provided an initial 180-calendar-day compliance period, through September 1, 2026, to regain compliance with the Minimum Bid Price Rule.

The Company intends to continue monitoring the closing bid price of its common shares and will evaluate available options during the second compliance period to cure the deficiency and regain compliance with the Minimum Bid Price Rule.

There can be no assurance that the Company will regain compliance within the additional compliance period or otherwise maintain compliance with Nasdaq's continued listing requirements.
