Diginex Announces Extension of Long Stop Date for Proposed Acquisition of Resulticks and Convenes Extraordinary General Meeting

The proposed capital changes could proceed even if the Resulticks acquisition does not close, subject to shareholder approval and Board discretion.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Diginex (NASDAQ: DGNX) extended the deadline for its proposed Resulticks acquisition to 19 November 2026, giving the parties more time to close.

Closing conditions were not satisfied by the original 30 October deadline; neither party has issued a termination notice. Shareholders approved the transaction on 8 October, but completion remains subject to satisfaction or waiver of remaining conditions. Other agreement terms are unchanged.

A 20 November 2026 extraordinary general meeting will consider increasing authorized ordinary shares from 495,000,000 to 1,295,000,000 and a 10-for-1 consolidation, leaving 129,500,000 authorized ordinary shares and 500,000 authorized preference shares. The proposals also include amended constitutional documents. Unlike the October approvals, these proposals are independent of the acquisition and, if approved, may take effect at the Board's discretion whether or not it closes.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

The November 20 EGM’s proposed consolidation remains subject to approval; if Resulticks closes first, the October-approved consolidation applies instead, so the shares are consolidated only once.

5 terms
long stop date financial
"extend the Long Stop Date under the amended and restated share purchase agreement"
A long stop date is the final deadline in a transaction or agreement by which all required steps, approvals, or conditions must be completed; if they are not met by that date the deal can be cancelled or renegotiated. Think of it as the ‘last call’ expiry on a plan—investors pay attention because it creates a clear risk of termination, timing for cash flows, and potential changes to valuation or strategy if milestones are missed.
share purchase agreement financial
"under the amended and restated share purchase agreement dated 14 August 2026"
A share purchase agreement is a written contract that outlines the terms and conditions for buying and selling shares of a company. It specifies details like the price, number of shares, and any special conditions, ensuring both buyer and seller agree on the transaction. For investors, it provides clarity and legal protection, making sure the purchase is clear and enforceable.
share consolidation financial
"a ten for one share consolidation of the Company's authorized share capital"
Share consolidation is a process where a company reduces the total number of its shares by combining multiple existing shares into a smaller number of higher-value shares. This can make each share more expensive and potentially improve the company’s image. For investors, it often means their ownership remains the same, but the value of each share increases, which can influence how the stock is perceived and traded.
cusip technical
"the Company’s ordinary shares will trade under a new CUSIP number"
A CUSIP is a nine-character alphanumeric code that uniquely identifies a U.S. or Canadian financial security—such as a stock, bond, or fund share—like a Social Security number for an investment. It matters to investors because brokers, exchanges and record-keepers use the CUSIP to match trades, track ownership, settle transactions and pull accurate records, reducing errors and ensuring money and securities go to the right place.

form 6-k regulatory
"will be furnished to the U.S. Securities and Exchange Commission on a Form 6-K"
A Form 6-K is a report that companies listed in certain countries file to provide important updates, such as financial results, corporate changes, or other significant information, to regulators and investors. It functions like an official company update or news release, helping investors stay informed about developments that could affect their investment decisions.

  • Long Stop Date extended to 19 November 2026
  • EGM to consider increase in authorized share capital and 10-for-1 share consolidation, independent of the Resulticks transaction

LONDON, Nov. 07, 2026 (GLOBE NEWSWIRE) -- Diginex Limited (NASDAQ: DGNX) ("Diginex" or the "Company"), a provider of ESG, sustainability and compliance solutions to institutional and corporate clients, today announces that on 6 November 2026 it agreed with the sellers of Resulticks Global Companies Pte. Limited ("Resulticks") to extend the Long Stop Date under the amended and restated share purchase agreement dated 14 August 2026 (the "SPA") for the Company's proposed acquisition of Resulticks (the "Transaction") from 30 October 2026 to 19 November 2026. All other terms of the SPA remain unchanged.

The closing conditions under the SPA were not satisfied by the original Long Stop Date of 30 October 2026, and neither party has delivered a notice of termination. The extension provides the parties with additional time to satisfy the remaining conditions to consummate the closing of the Transaction. The Company's shareholders approved the Transaction at the extraordinary general meeting held on 8 October 2026. The parties are continuing to work towards the satisfaction of the remaining conditions. The Transaction remains subject to the satisfaction or waiver of the remaining conditions in the SPA, and there can be no assurance that the Transaction will be completed.

Extraordinary General Meeting

The Board of Diginex has resolved to convene an extraordinary general meeting of shareholders (the "EGM") on 20 November 2026. Shareholders of record at the close of business on 6 November 2026 will be entitled to receive notice of and to vote at the EGM. At the EGM the Company’s shareholders will be asked to approve (i) an increase in the Company's authorized share capital from US$200,000 divided into 495,000,000 ordinary shares of a par value of US$0.0004 each and 5,000,000 preference shares of a par value of US$0.0004 each to US$520,000 divided into 1,295,000,000 ordinary shares of a par value of US$0.0004 each and 5,000,000 preference shares of a par value of US$0.0004 each, by the creation of 800,000,000 additional authorized ordinary shares of a par value of US$0.0004 each,  (ii) a ten for one share consolidation of the Company's authorized share capital such that following the share consolidation the Company will have authorized for issuance 129,500,000 ordinary shares of a par value of US$0.004 each and 500,000 preference shares of a par value of US$0.004 each, and (iii) an amended and restated memorandum and articles of association reflecting those changes. Upon the Share Consolidation taking effect, the Company’s ordinary shares will trade under a new CUSIP number

At the 8 October 2026 meeting, shareholders approved an increase in authorized share capital and a share consolidation that were conditional on completion of the Transaction. The proposals to be put to the EGM are not conditional on the Transaction and, if approved, will take effect, at the discretion of the Board, whether or not Diginex completes the Transaction; if the Transaction completes first, the consolidation approved in October will be implemented instead, so that the shares are consolidated once only.

The notice of the EGM, the proxy statement and the form of proxy card will be furnished to the U.S. Securities and Exchange Commission on a Form 6-K and made available to shareholders in due course.
