Ecopetrol (NYSE: EC) reported the results of first-call meetings held on August 18, 2026, for holders of its domestic public debt bonds issued in 2010 and 2013. The meetings were convened by the bondholders' representatives Alianza Valores Fiduciaria and Itaú Fiduciaria Colombia.

According to Ecopetrol, no quorum was verified for the 2010 issuance, while the 2013 issuance reached a quorum representing 15.33% of its outstanding principal. As Colombian regulations require at least 80% of outstanding principal plus a numerical majority to approve a merger proposal at first call, second-call meetings will be convened and announced in a national newspaper.

Key Terms

quorum, outstanding principal amount, first call
3 terms
quorum regulatory
"no quorum was verified"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.
outstanding principal amount financial
"15.33% of the outstanding principal amount of such issuance"
The outstanding principal amount is the remaining unpaid portion of the original loan or bond issue—just the borrowed money itself, not accumulated interest or fees—after any repayments. It matters to investors because it shows how much debt a borrower still owes, which affects credit exposure, company leverage and potential future cash outflows; like the remaining balance on a mortgage, it indicates the size of the obligation that must be managed or repaid.
first call regulatory
"meetings of the Company's domestic bonds issued in 2010 and in 2013"
The first call is the initial public estimate or report about a company’s upcoming financial results or prospects, usually issued by an analyst or research firm when they start covering the company or after a new quarter begins. It matters to investors because it sets an early benchmark or expectation—like the first score reported in a game—that subsequent estimates, market reactions and consensus numbers are compared against.

BOGOTÁ, Colombia, Aug. 18, 2026 /PRNewswire/ -- Ecopetrol S.A. (BVC: ECOPETROL; NYSE: EC) (the "Company" or "Ecopetrol") hereby reports that, on August 18, 2026, meetings of the holders of the Company's domestic bonds issued in 2010 and in 2013 were convened and held at first call. The meetings were called by the respective bondholders' representatives, Alianza Valores Fiduciaria S.A. and Itaú Fiduciaria Colombia S.A., pursuant to a notice of meeting published on August 6, 2026, in a newspaper of broad national circulation.

At the meeting of bondholders of the 2010 issuance, convened by Alianza Valores Fiduciaria S.A. and held today at 2:00 p.m. (Bogotá, D.C. time), no quorum was verified.

At the meeting of bondholders of the 2013 issuance, convened by Itaú Fiduciaria Colombia S.A. and held today at 3:30 p.m. (Bogotá, D.C. time), a quorum representing 15.33% of the outstanding principal amount of such issuance was verified.

Under Article 6.4.1.1.22 of Colombian Decree 2555 of 2010, approval of a merger proposal at a first-call meeting requires the affirmative vote of a plurality representing both (i) the numerical majority of bondholders present at the meeting and (ii) at least eighty percent (80%) of the outstanding principal amount of the relevant issuance. Because the requisite majorities were not obtained at either meeting, a second-call meeting will be required for the holders of each of the two outstanding issuances. Notice of the second-call meetings will be published in a newspaper of broad national circulation in the coming days, and the Company will provide further updates as appropriate.

FAQ

What did Ecopetrol (NYSE: EC) announce about its bondholders' meetings on August 18, 2026?

Ecopetrol announced that first-call meetings for its 2010 and 2013 domestic bond issuances were held on August 18, 2026. According to Ecopetrol, the meetings reviewed a merger proposal but did not achieve the required majorities, so second-call meetings will be convened in the coming days.

Why was the merger proposal not approved at Ecopetrol's August 18, 2026 bondholders' meetings for EC bonds?

The merger proposal was not approved because the required majorities under Colombian Decree 2555 of 2010 were not reached. According to Ecopetrol, the 2010 issuance meeting lacked quorum and the 2013 issuance only reached 15.33% of outstanding principal, below the 80% approval threshold.

What quorum was reached at the August 18, 2026 Ecopetrol 2013 bondholders' meeting for EC domestic bonds?

At the 2013 issuance meeting, Ecopetrol reported a quorum representing 15.33% of the outstanding principal amount. According to Ecopetrol, this participation level was insufficient to meet the at-least 80% outstanding principal requirement for approving the merger proposal at a first-call meeting.

What happens next after Ecopetrol's first-call bondholder meetings failed to approve the merger for EC bonds?

Second-call meetings will be held for both the 2010 and 2013 bond issuances. According to Ecopetrol, notices for these second-call meetings will be published in a newspaper of broad national circulation, and the company plans to provide additional updates as appropriate for investors.

What are the approval requirements for Ecopetrol bondholder mergers under Colombian Decree 2555 of 2010?

Approval at a first-call bondholders' meeting requires a numerical majority of attendees and at least 80% of the outstanding principal amount. According to Ecopetrol, these dual conditions were not met for either the 2010 or 2013 bond issuances on August 18, 2026.

Where can investors in Ecopetrol (EC) domestic bonds find details on attending upcoming bondholders' meetings?

Investors can consult Ecopetrol’s dedicated bondholders’ meeting information page for general attendance conditions. According to Ecopetrol, the information is available through a published web link, and formal notices of second-call meetings will also appear in a newspaper of broad national circulation.
