Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Eguana Technologies (EGTYF) completed the final tranche of its convertible debenture financing, bringing aggregate gross proceeds to C$500,000. The final tranche raised C$35,000 through 35 debentures, following C$465,000 raised on October 21, 2026.

The 500 debentures mature 12 months after issuance and pay interest in cash. Conversion at C$0.15 per share requires full revocation of the failure-to-file cease trade order or further partial permission, plus final TSXV acceptance. Eguana intends to fund outstanding financial filings and seek full revocation of the order, alongside working capital. The order remains effective, and the financing remains subject to final TSXV acceptance, required creditor consents and intercreditor arrangements, investor documentation and satisfaction of the partial revocation order.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Calgary, Alberta--(Newsfile Corp. - November 6, 2026) - Eguana Technologies Inc. (TSXV: EGT) ("Eguana" or the "Company") announces that it has completed the second tranche of its previously announced convertible debenture financing (the "Financing"), consisting of the issuance of 35 subordinated secured convertible debentures (the "Debentures") for gross proceeds of C$35,000. Together with the first tranche of 465 Debentures for gross proceeds of C$465,000 completed on October 21, 2026, the Company has issued an aggregate of 500 Debentures for aggregate gross proceeds of C$500,000, and the Financing is now closed.

The Financing was completed pursuant to a partial revocation order issued by the Alberta Securities Commission (the "ASC") on August 27, 2026 (the "Partial Revocation Order"), which partially revoked the failure-to-file cease trade order issued against the Company on May 6, 2026 (the "FFCTO") to permit the Company to complete the Financing. The FFCTO was issued as a result of the Company's failure to file its annual audited financial statements, annual management's discussion and analysis and certifications of annual filings for the year ended December 31, 2025, and its interim financial statements, interim management's discussion and analysis and certifications for the three months ended March 31, 2026 (collectively, the "Outstanding Filings").

Financing

Pursuant to the Partial Revocation Order, the Company has issued the remaining 35 Debentures in principal amounts of C$1,000 each for gross proceeds of C$35,000, bringing the total issued under the Financing to 500 Debentures for aggregate gross proceeds of C$500,000. The Debentures will mature 12 months after issuance and will be convertible, only after the FFCTO has been fully revoked or a further partial revocation expressly permits conversion, into common shares of the Company at a price of C$0.15 per share subject to applicable laws and receipt of final acceptance from the TSX Venture Exchange (the "TSXV").

Interest on the Debentures will be paid in cash. The Debentures are secured against the Company's present and after-acquired personal property and rank behind the secured obligations owed to certain secured creditors, on the terms accepted by the TSXV and the applicable secured creditors.

Other than the Financing, the Partial Revocation Order does not permit any other security-based transactions while the FFCTO remains effective.

Use of proceeds

The Company intends to use the Financing to complete the Outstanding Filings and apply for a full revocation of the FFCTO, and for general working capital purposes.

The Financing remains subject to final acceptance of the TSXV, receipt of required creditor consents and intercreditor arrangements and investor documentation, satisfaction of the Partial Revocation Order and other customary conditions.

The securities will be subject to applicable statutory and TSXV hold periods and the FFCTO.
