Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. Rhea-AI Summary

Green Circle Decarbonize Technology (GCDT) had trading in its Class A ordinary shares suspended on November 3, 2026. NYSE American commenced delisting proceedings because the shares' low selling price made the company unsuitable for continued listing under Section 1003(f)(v).

The company anticipates trading on the OTC Pink Limited Market under GCDT and intends to request a Listing Qualifications Panel review within seven calendar days of receiving the notice. Green Circle remains an SEC reporting company and intends to continue its required filings. It expects no effect on business operations, partner or employee relationships, or reporting obligations from the transition.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Key Terms

3 terms
form 20-f regulatory
"including filing its annual reports on Form 20-F"
Form 20-F is the standardized annual disclosure that non-U.S. companies must file with the U.S. securities regulator when their shares are traded in the U.S.; it contains audited financial statements, a plain-language description of the business, management discussion, governance details and key risk factors. It matters to investors because it provides a consistent, comparable company “report card” and rulebook, helping buyers assess financial health, governance and risks before investing.
form 6-k regulatory
"and furnishing current reports on Form 6-K"
A Form 6-K is a report that companies listed in certain countries file to provide important updates, such as financial results, corporate changes, or other significant information, to regulators and investors. It functions like an official company update or news release, helping investors stay informed about developments that could affect their investment decisions.
exchange act regulatory
"reporting obligations under the Securities Exchange Act of 1934"
A federal law that sets rules for trading securities on public exchanges, requiring companies and market participants to register, disclose regular financial information, and follow standards that promote honest, orderly markets. For investors, it matters because it creates transparency and legal protections—like stopping insider trading and ensuring timely company disclosures—so you can evaluate risks and rely on consistent rules much as players rely on a referee to keep a game fair.

Company Intends to Request Review of NYSE American Delisting Determination Within Applicable Seven Calendar-Day Period

Green Circle Remains an SEC Reporting Company and Continues to Focus on Strategic Transaction Opportunities

Hong Kong, Nov. 04, 2026 (GLOBE NEWSWIRE) -- Green Circle Decarbonize Technology Limited (“Green Circle” or the “Company”) (GCDT), a premier provider of customized energy-saving solutions, today announced that it has received notification on November 3, 2026 from NYSE American LLC (“NYSE American”) that the staff of NYSE Regulation has determined to commence proceedings to delist the Company's Class A ordinary shares (the “Ordinary Shares”) from NYSE American. Trading in the Ordinary Shares was suspended immediately upon receipt of the notification on November 3, 2026. NYSE Regulation determined that the Company is no longer suitable for listing pursuant to Section 1003(f)(v) of the NYSE American Company Guide due to the low selling price of the Ordinary Shares.

The Company anticipates that the Ordinary Shares will begin trading publicly on the OTC Pink Limited Market (“OTC Market”) under the symbol “GCDT”. The transition to the OTC Market is not expected to affect the Company's business operations, its relationships with business partners or employees, or its reporting obligations under the Securities Exchange Act of 1934, as amended (the “Exchange Act”). Shareholders are not required to take any action in connection with the suspension or transition to the OTC Market. The Ordinary Shares remain issued and outstanding and will continue to be held in shareholders' existing brokerage accounts. Once trading commences on the OTC Market, shareholders may be able to trade their Ordinary Shares through their existing brokerage accounts, subject to their brokers' policies and capabilities.

The Company currently intends to request review of NYSE Regulation's determination before a Listing Qualifications Panel ("Panel") by submitting a written request within the applicable seven calendar day period following receipt of the notice, in accordance with NYSE American procedures.

The Company remains subject to the reporting requirements of the Exchange Act and intends to continue satisfying its applicable reporting obligations with the U.S. Securities and Exchange Commission (the “SEC”), including filing its annual reports on Form 20-F and furnishing current reports on Form 6-K.
