Insights

Acquisition expands CGI footprint in Poland and public sector expertise; integration outcomes and regulatory approval are decisive.

CGI gains ~460 specialists and will scale its Poland and Baltic headcount to ~1,500 professionals, increasing capacity to deliver public‑sector software, ERP and managed services. The deal transfers a focused public‑administration portfolio and local delivery teams into CGI's global platform, which should accelerate deployment of CGI intellectual property and AI capabilities across social security, health and agricultural agencies.

The immediate dependencies are clear: completion hinges on regulatory approvals and customary closing conditions, and successful integration of teams, products and contracts. Execution risks include service continuity during transition and alignment of product roadmaps with CGI's IP; those factors will determine near‑term client retention and revenue translation.

Watch for three concrete items over the next 6–18 months: regulatory clearance (timing unspecified), retention of key client contracts and the pace of migrating Comarch Polska solutions onto CGI platforms. These milestones will indicate whether the acquisition drives the stated scale and public‑sector growth.
