Genius Group Advances ASX Dual Listing, Expands GENIUSpark AI Data Center Initiative to Australia
The working-capital milestone supports the proposed Australian listing, but ASX review and approval remain pending.
Sentiment and the balance of points
Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.
Rhea-AI Summary
Genius Group (NYSE American: GNS) approved proceeding with a formal application for a dual listing on the Australian Securities Exchange. The proposed listing would use CHESS Depositary Interests, securities representing underlying shares, and remains subject to ASX review and approval. Current assets exceeded current liabilities in October 2026, meeting a working-capital milestone.
In the first half of 2026, the company repaid 99% of third-party debt, reduced total liabilities by 37% to US$25.5 million and grew net assets to US$106 million. Its three operating units generated US$6.4 million in combined net profit from operations in the first nine months of 2026, on 140% year-on-year revenue growth. The board also authorized exploration of Australian GENIUSpark AI data center opportunities. The company intends Canadian and Australian launches to serve as pilots for further developments in Southeast Asia, with Indonesia’s special economic zones the third focus.
How this balance works
Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.
It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.
Rhea-AI Sentiment measures something else, the tone of the wording.

Further to the announcement of GENIUSpark Community-first AI data center project in Alberta, Canada, Board approves expansion of GENIUSpark AI-powered education and reskilling model to Australia.
SINGAPORE, Nov. 04, 2026 (GLOBE NEWSWIRE) -- Genius Group Limited (NYSE American: GNS) ("Genius Group", "GNS" or the "Company"), a leading AI-powered education group, today announced that its Board of Directors has approved a series of strategic initiatives to accelerate the Company’s growth, strengthen its capital structure, and advance its application for a dual listing on the Australian Securities Exchange (“ASX”).
ASX Dual Listing
The Board has directed management to proceed with the formal application for a dual listing of the Company’s securities on the ASX by way of CHESS Depositary Interests (“CDIs”). The Company engaged DLA Piper as its advisor on the ASX dual listing in December 2025, further to which DLA Piper lodged an In Principle Advice Application with the ASX on the Company’s behalf. The Company received initial feedback from the ASX in July 2026 and has been working to address the ASX’s requirements, including satisfying the positive net working capital surplus condition required under ASX Listing Rule 1.3.
Further to steps taken to strengthen its Balance Sheet over the course of the year, the Company achieved a net working capital surplus milestone in the month of October, with its current assets exceeding its current liabilities, enabling the Board to approve the formal application for a dual listing on ASX.
Roger James Hamilton, Founder and CEO of Genius Group, commented: “Today’s announcements mark a pivotal moment for Genius Group. We believe a dual listing on the ASX will broaden the Company’s investor base across the Asia-Pacific region, enhance trading liquidity and fair price discovery.”
“Multiple US publicly listed companies have had success with dual listings on the ASX via CDIs, including Block (formerly Square), Life360, ResMed, Newmont, Alcoa and Amcor. Genius Group looks forward to joining this group in having exposure to both the US and Asia-Pacific. A dual listing on the ASX will also position the Company to pursue growth opportunities in Australia and South East Asia, including the deployment of our GENIUSpark community-first AI data center model and Genius City education ecosystem.”

The Company has undertaken a comprehensive restructuring of its balance sheet over the course of 2026 in preparation for the ASX dual listing. In the first half of the year, the Company closed or restructured loss-making divisions, repaid

As a result of these measures, the Company achieved one of the key milestones required for a dual listing in October 2026: A positive net working capital surplus, with current assets exceeding current liabilities.
The ASX listing is subject to ASX review and approval, and the Company expects to provide further updates on the listing timeline as the process advances.
GENIUSpark: Community-First AI Data Centers
In parallel to the Company’s formal ASX dual listing application, and further to the Company’s announcement of its first signed binding agreements to form GENIUSpark Alberta Inc to build a series of community-first high performance computing campuses in Alberta, Canada, the Board has authorized management to explore and pursue GENIUSpark opportunities in Australia, where AI data center demand is growing rapidly.
Australia’s operational data center capacity stands at approximately 1.5 GW today and is projected to more than double to 3.2 GW by 2030, according to the DC Byte and Data Centres Australia Forecast Report, [1] with new investment in Australian data center capacity forecast to top A
The Company believes its GENIUSpark community-first model, which integrates a Genius City reskilling academy, a local AI treasury and community benefit-sharing into each site, is well-suited to Australia’s skilled workforce and growing AI infrastructure needs.
Australia’s AI growth trajectory is accompanied by an acute skills shortage. The Tech Council of Australia estimates that AI could create up to 200,000 AI-related jobs by 2030, requiring the country’s current AI workforce of approximately 33,000 to increase five-fold. [3] Separately, Bain & Company projects the number of AI specialists in Australia will rise from 40,000 in 2024 to 85,000 by 2027, still leaving a shortfall of up to 60,000 workers against projected demand of over 140,000 AI roles. [4] GENIUSpark’s integrated Genius City reskilling academy model is designed to address this workforce gap by delivering AI literacy, certification and employment pathways.
The Company intends for its GENIUSpark community-first model, once launched in Canada and Australia, to serve as a pilot for further AI powered Genius City developments in South East Asia, with the third focus being Indonesia’s Special Economic Zones (SEZs).
