Key Terms

licensing collaboration financial
An agreement where one company grants another the rights to use or develop its intellectual property—such as a drug candidate, technology, or brand—typically in exchange for upfront fees, milestone payments and ongoing royalties, often with shared development or commercialization duties. For investors, these deals can speed product launches, reduce a company’s costs and risk by sharing responsibilities, and create predictable future revenue streams much like licensing a recipe to a restaurant chain.
goodwill impairment financial
Goodwill impairment occurs when a company’s valued reputation or brand strength, known as goodwill, is found to be worth less than previously recorded on its financial statements. This usually happens when the company's performance declines or market conditions change, signaling that the expected benefits from acquisitions or brand value are no longer as strong. It matters to investors because it can indicate that a company's assets are less valuable than initially thought, potentially affecting its overall financial health.
diluted eps financial
Diluted earnings per share (EPS) shows how much profit a company makes for each share of stock, assuming all possible shares from stock options or convertible securities are used. It provides a more conservative estimate than basic EPS, accounting for potential share increases that could dilute ownership. Investors use diluted EPS to get a clearer picture of a company's true profitability on a per-share basis.
operating cash flow financial
Operating cash flow is the amount of money a company earns from its main business activities, like selling products or services. It shows how well the company can generate cash to pay bills, invest in growth, or return money to shareholders. This figure helps investors understand if the company’s core operations are healthy and sustainable.
long-term debt financial
Long-term debt is money a company has borrowed that it does not have to repay for more than one year, such as bank loans or bonds. It matters to investors because these obligations require future interest and principal payments that can reduce cash available for growth or dividends; like a household mortgage, manageable long-term debt can finance expansion, but too much increases the risk that the company will struggle to meet payments.
form 4 regulatory
Form 4 is a official document that company insiders, such as executives or major shareholders, file with regulators whenever they buy or sell company shares. It provides transparency about how those with inside knowledge are trading, helping investors see if insiders are confident in the company's prospects or may be selling for personal reasons. This information can influence investor decisions by revealing insiders' perspectives on the company's value.
form 3 regulatory
Form 3 is the initial public filing that officers, directors and large shareholders must submit to report their ownership of a company’s securities when they become insiders. It acts like an opening inventory sheet that gives investors a starting point to see who holds significant stakes and to spot later trades or potential conflicts of interest, helping assess insider confidence and transparency.
deferred stock award financial
A deferred stock award is company stock granted to employees or executives but delivered or allowed to be sold at a later date, often after meeting time or performance conditions. For investors, it matters because these promised shares can increase the number of outstanding shares (dilution) and reveal how management is being paid and motivated; think of it as a delayed paycheck in stock form that aligns long-term incentives.
