ORLANDO, Fla.--(BUSINESS WIRE)-- Hilton Grand Vacations Inc. (NYSE:HGV) (“HGV” or “the Company”) today announced that it has entered into an accelerated share repurchase (ASR) agreement with Deutsche Bank AG, London Branch for $200 million (the repurchase price) of its common stock, as part of its previously announced 2025 and 2026 Repurchase Authorization. As of Oct. 30, 2026, the Company has $17 million of remaining availability under the 2025 Repurchase Plan and $600 million of remaining availability under the 2026 Repurchase Plan.

Under the terms of the ASR, HGV will pay the repurchase price and receive common stock with an aggregate value of 80% based on the closing share price of the Company's common stock as of Oct. 29, 2026. This represents approximately 4.48 million shares based on the Oct. 29, 2026 closing price of $35.71. The total number of shares that HGV will ultimately repurchase under the ASR will be determined based on the volume-weighted average price of the Company's common stock during the term of the ASR, less a discount and subject to adjustments pursuant to the terms and conditions of the ASR agreement. The final settlement of the ASR is expected to be completed by Dec. 31, 2026. Following completion of the ASR, HGV will have $417 million remaining available under the share repurchase authorization.

“This accelerated share repurchase reiterates our confidence in the strength of our underlying business and our commitment to disciplined, shareholder-focused capital allocation,” said Dan Mathewes, president and CFO of Hilton Grand Vacations. “With a strong balance sheet and cash flow generation, we are well positioned to return capital to shareholders while investing in long-term growth.”

Key Terms

accelerated share repurchase financial
An accelerated share repurchase is a deal where a company hires a bank to buy back a large block of its own stock immediately on the open market, with the bank later settling the exact number of shares over time. For investors it matters because the immediate reduction in shares outstanding can raise per‑share earnings and often supports the stock price, but it also uses company cash or borrowing and can change liquidity and future growth funding.
volume-weighted average price financial
Volume-weighted average price (VWAP) is the average price of a stock over a specific time period where each trade is weighted by the number of shares traded, so larger trades influence the average more than small ones. Investors and traders use VWAP as a reference point to judge whether trades are happening at relatively good or poor prices—like checking the average price paid for an item at a market where bulk purchases count more than single-item buys.
