Highway Holdings (HIHO) has received a second 180‑day extension from Nasdaq, through March 15, 2027, to regain compliance with the exchange’s minimum US$1.00 bid price requirement.

The company’s common shares will continue to trade uninterrupted on Nasdaq under the ticker “HIHO” during this period. Nasdaq granted the extension because Highway Holdings meets the market value of publicly held shares requirement and all other applicable initial listing standards for the Nasdaq Capital Market, except for the bid price, and has notified Nasdaq of its intention to cure the deficiency, including potentially via a reverse stock split. Highway Holdings believes it can regain compliance but warns there is no assurance it will do so or maintain compliance with other Nasdaq criteria.

Positive

  • Second 180-day Nasdaq extension granted to regain minimum bid compliance through March 15, 2027
  • Shares continue trading on Nasdaq under HIHO during the new compliance period
  • Meets all other Nasdaq initial listing standards including market value of publicly held shares

Negative

  • Remains below US$1.00 bid price and still non-compliant with Nasdaq Listing Rule 5810(c)(3)(A)
  • No assurance of regaining or maintaining compliance with Nasdaq listing criteria, as stated by the company
  • May need a reverse stock split to cure the bid price deficiency, which can be dilutive in perception

News Explained

The extension provides time rather than restored compliance: Highway Holdings must reach a closing bid price of at least US$1.00 for ten consecutive business days by March 15, 2027; the shares continue trading during that period.

2 terms
minimum bid price requirement regulatory
"regain compliance under Nasdaq's minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
reverse stock split technical
"if necessary, by effecting a reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
