Hub Group (Nasdaq:HUBG) filed Form 12b-25, delaying its Form 10-Q for Q1 2026 due to the earlier delay of its 2025 Form 10-K. The company will restate financials for 2023, 2024 and the first three quarters of 2025, which should not affect total cash or operating cash flow. Nasdaq granted a 180-day exception, until September 14, 2026, to regain timely filing compliance. Q1 2026 business trends include steady intermodal demand with an improving pricing outlook, significant new logistics business, and lower brokerage volume as Hub Group prioritizes profitability and revenue per load.

Analysis

The stock dropped -12.5% in the session following this news. A negative reaction despite commentary about steady intermodal demand fits prior sensitivity to accounting and restatement headlines, such as the -18.25% move on preliminary 2025 results. The expansion of restatements to 2024 and 2023 and explicit non-reliance on past statements may have reinforced governance and reporting concerns. Selling pressure could have persisted if investors focused more on control weaknesses than on operational updates.

Restatement and late-filing headlines have often seen aligned moves, though one prior 12b-25 notice drew a small positive reaction despite negative implications.

Recent Company History

Over the last few months, HUBG has repeatedly updated investors on delayed filings and restatements. On Feb 5, 2026, preliminary 2025 results and a restatement disclosure coincided with a -18.25% move. Subsequent notices in March 2026 about Form 12b-25 and Nasdaq deficiency produced modest positive reactions. A dividend declaration on Feb 26, 2026 and an earnings call scheduling in January 2026 had relatively small price effects. Today’s broader restatement of 2024–2023 fits this ongoing accounting and reporting remediation theme.

8 terms
form 12b-25 regulatory
"it has filed a Notification of Late Filing on Form 12b-25 with the U.S. Securities"
Form 12b-25 is a notice a publicly traded company files with the U.S. Securities and Exchange Commission when it cannot deliver a required periodic report (like a quarterly or annual financial report) on time. It explains the reason for the delay and gives the company a short, temporary window to finish the report without being marked as delinquent; investors watch it because late filings can signal accounting, operational, or control issues that may affect a company’s reliability and stock risk, much like a missed homework deadline can raise concerns about a student’s preparedness.
form 10-q regulatory
"will be delayed in filing its Form 10-Q for the quarter ended March 31, 2026"
A Form 10-Q is a detailed report that publicly traded companies are required to file with regulators three times a year, providing an update on their financial health and business activities. It is important for investors because it offers timely insights into a company's performance, helping them make informed decisions about buying or selling stocks. Think of it as a regular check-up report that shows how well a company is doing.
form 10-k regulatory
"unable to timely file its Form 10-K for the year ended December 31, 2025"
A Form 10-K is a comprehensive report that publicly traded companies are required to file annually with regulators. It provides a detailed overview of a company's financial health, operations, and risks, similar to a detailed health report. Investors use this information to assess the company's performance and make informed decisions about buying or selling its stock.
audit committee regulatory
"follows a review, conducted under the direction of the Audit Committee of the Board"
A company's audit committee is a small group of board members who act like independent inspectors for the firm's finances, overseeing how financial reports are prepared, monitoring internal controls, and managing the relationship with external auditors. Investors care because a strong audit committee reduces the risk of accounting errors, fraud, or misleading statements, making financial statements more trustworthy and helping protect shareholder value.
restated financial
"plans to restate its financial statements for the first, second and third quarters"
When a company’s previously issued financial results are changed and reissued to correct errors, accounting mistakes, or to reflect a new accounting rule. Investors care because restated numbers can alter a company’s past profits, debt or performance trends, like fixing a misprinted score in a game — it changes how you judge past results and may affect trust, legal risk, and the company’s current valuation.
nasdaq listing rule 5250(c)(1) regulatory
"compliance with Nasdaq Listing Rule 5250(c)(1), which requires all listed companies"
Nasdaq Listing Rule 5250(c)(1) requires companies listed on the Nasdaq stock exchange to promptly notify the exchange if their stock price falls below a certain minimum level, known as the "initial listing standards." This rule helps ensure that investors are aware of significant declines in a company's stock value, which could signal financial trouble or increased risk. Essentially, it helps maintain transparency and protect investors by keeping them informed about important changes in a company's stock performance.
forward-looking statements regulatory
"Certain Forward-Looking StatementsStatements in this press release that are not"
Forward-looking statements are predictions or plans that companies share about what they expect to happen in the future, like estimating sales or profits. They matter because they help investors understand a company's outlook, but since they are based on guesses and assumptions, they can sometimes be wrong.
operating cash flows financial
"increase operating cash flows, which along with its balance sheet strength"
Operating cash flows are the actual cash a company generates from its core business activities—money collected from customers minus cash paid for suppliers, wages and other day-to-day expenses—excluding cash from loans, investments or asset sales. Investors watch this measure because it shows whether the business is producing usable cash to cover bills, reinvest in growth, pay dividends or reduce debt; think of it as a household’s monthly paycheck rather than accounting entries, revealing underlying financial health and sustainability.

OAK BROOK, Ill., May 12, 2026 (GLOBE NEWSWIRE) -- Hub Group, Inc. (Nasdaq: HUBG) today announced that it has filed a Notification of Late Filing on Form 12b-25 with the U.S. Securities and Exchange Commission (“SEC”) and will be delayed in filing its Form 10-Q for the quarter ended March 31, 2026.

As previously disclosed, the Company was unable to timely file its Form 10-K for the year ended December 31, 2025. The delay in filing the Form 10-K has resulted in a corresponding delay in the preparation and completion of the Form 10-Q for the quarter ended March 31, 2026.

The Company has also determined that it will restate its financial statements as of and for each of the years ended December 31, 2024 and 2023. This determination follows a review, conducted under the direction of the Audit Committee of the Board of Directors, that identified certain transactions that were prematurely or incorrectly recognized or not adequately supported within those financial statements. There is no expected impact on total cash and cash equivalents or operating cash flow for any periods. As previously announced, the Company plans to restate its financial statements for the first, second and third quarters of 2025. Investors should no longer rely on the Company’s previously issued financial statements for these periods.

Hub Group is working diligently to complete the financial statement restatements for the impacted periods and to file its Form 10-K for the year ended December 31, 2025. The Company expects to file the Form 10-Q for the quarter ended March 31, 2026 as soon as practicable after the filing of the Form 10-K.

The Nasdaq Stock Market LLC (“Nasdaq”) has granted a 180-day exception period, or until September 14, 2026, for the Company to regain compliance with Nasdaq Listing Rule 5250(c)(1), which requires all listed companies to timely file all required periodic reports with the SEC. The Company intends to regain compliance on or prior to such date.

First Quarter 2026 Business Performance
In the first quarter of 2026, the Company saw Intermodal volume performance reflecting steady demand with the pricing outlook continuing to improve as a result of truckload capacity exiting the market, strong rail service levels as well as recent increases in fuel prices. In Logistics, the Company continued to onboard significant new business during the quarter, in particular in Managed Transportation and Final Mile. Finally, Brokerage volume declined in the quarter reflecting the Company’s focus on improving profitability and expanding revenue per load. The Company continues to take actions to drive growth, improve profitability and increase operating cash flows, which along with its balance sheet strength and strong service positions Hub Group well for long-term growth.
