Impact Biomedical Inc Announces Filing of Form F-4 Registration Statement in Connection with Proposed Merger with Zoar Ltd. (f/k/a Dr. Ashley’s Limited)

Impact Biomedical reports Zoar Limited’s Form F-4 filing, a key step toward a proposed merger creating an API-focused pharmaceutical company.

(Very Positive)

Impact Biomedical (IBO) announced that Zoar Limited has filed a Form F-4 registration statement with the SEC on September 10, 2026, in connection with the previously disclosed business combination among Impact, Zoar Limited (PubCo) and Zoar Labs Limited. The filing includes Impact’s preliminary proxy statement and is available under “Zoar Limited” on the SEC’s website.

Impact’s management views the F-4 filing as a major milestone toward closing the merger. Completion of the business combination and listing of PubCo’s ordinary shares on NYSE American remain subject to the Form F-4 being declared effective by the SEC, approval by Impact stockholders, NYSE American listing approval, and other conditions in the merger and share exchange agreement. Upon approval and closing, the combined company is expected to focus on development and supply of active pharmaceutical ingredients and intermediates for specific therapeutic treatment areas.

News Explained

The filing adds the next shareholder-vote step: because the Form F-4 includes only a preliminary proxy, a definitive proxy is to be mailed after SEC effectiveness to holders of a record date set by Impact’s board; the merger remains proposed, not closed.
