HOUSTON--(BUSINESS WIRE)-- Innovex International, Inc. (NYSE: INVX) (“Innovex” or the “Company”) today announced the pricing of an underwritten offering (the “Offering”) of 5,000,000 shares of its common stock by certain affiliates of Amberjack Capital Partners, L.P. (the “Selling Stockholders”). Innovex will not sell any shares of its common stock in the Offering and will not receive any proceeds from the sale of the shares of its common stock being offered by the Selling Stockholders. The Offering is expected to close on August 10, 2026, subject to customary closing conditions.

The underwriter intends to offer the shares from time to time for sale in one or more transactions on the New York Stock Exchange, in the over-the-counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices.

Barclays is acting as the sole underwriter for the Offering. The Offering is being made only by means of a prospectus supplement and the accompanying base prospectus, which was filed as part of a shelf registration statement on Form S-3 (File No. 333-282178), which was filed with the Securities and Exchange Commission (the “SEC”) on September 17, 2024, and became effective on October 1, 2024.
