Kewaunee Scientific Announces Agreement to Acquire Nycom, Inc.

The proposed purchase combines cash, a subordinated note and newly issued shares, with the price subject to adjustments.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Kewaunee Scientific (KEQU) signed a definitive agreement to acquire Nycom for an initial base purchase price of $55 million. The price can rise or fall based on the greater of Nycom's trailing 12-month or 2026 Adjusted EBITDA, an adjusted earnings measure, plus customary post-closing adjustments.

Payment includes a $20 million subordinated promissory note, subject to EBITDA-based adjustments, and $5 million in newly issued common stock. Remaining cash consideration will use cash on hand and borrowings under financing expected from PNC Bank at closing. Both boards approved the transaction, which Kewaunee expects to close in the fourth quarter of fiscal 2027, subject to customary closing conditions.

Kewaunee intends to combine Nycom's design, distribution and installation capabilities with its manufacturing operations and use Nycom's platform for organic growth and selective North American acquisitions.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Key Terms

adjusted ebitda, subordinated promissory note, working capital, building information modeling (bim)
4 terms
adjusted ebitda financial
"based on Nycom's trailing 12-month Adjusted EBITDA, or 2026 Adjusted EBITDA"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
subordinated promissory note financial
"$20 million of the purchase price will be payable in the form of a subordinated promissory note"
A subordinated promissory note is a written promise to repay borrowed money that legally ranks behind other loans and creditors, so it gets paid only after higher-priority debts are satisfied. For investors, that lower repayment priority means greater risk of loss if the borrower runs into trouble, which is why these notes typically offer higher interest rates; think of it as standing farther back in line for repayment.
working capital financial
"customary post-closing adjustments for working capital, cash, indebtedness"
Working capital is the money a business has available to cover its daily expenses, like paying bills and buying supplies. It’s like the cash in your wallet that helps you handle everyday costs; having enough ensures the business can operate smoothly without running into money shortages.
View in glossary
building information modeling (bim) technical
"Advanced design capabilities, including Building Information Modeling (BIM)"
A digital process that creates a detailed 3D model of a building combined with its data—materials, schedules, costs and systems—so everyone involved can see and update the same “living” blueprint. For investors, it matters because it reduces surprises, shortens timelines and lowers lifecycle costs by improving planning, tracking construction progress and predicting maintenance needs, which can protect returns and asset value.

STATESVILLE, N.C., Nov. 2, 2026 /PRNewswire/ -- Kewaunee Scientific Corporation (NASDAQ: KEQU) today announced that it has entered into a definitive agreement to acquire Nycom, Inc. ("Nycom"), the largest lab dealer in the USA. The proposed acquisition represents an important step in Kewaunee's long-term growth strategy, bringing Nycom's expertise in laboratory design and project delivery closer together with Kewaunee's manufacturing capabilities to provide more fully integrated laboratory solutions. The Company intends to leverage Nycom's scalable world-class operating platform to support organic growth and pursue selective acquisition opportunities across North America.

Kewaunee Scientific Corporation (PRNewsFoto/Kewaunee Scientific Corporation)

Kewaunee and Nycom have worked together for decades. During that time, Nycom has earned a strong reputation throughout the industry for exceptional project execution and customer service. Their experienced leadership and established operating organization make Nycom particularly well suited to support Kewaunee's plans for continued growth.

"Nycom is an exceptional business, and we know firsthand the quality of their team and the work they deliver," said Thomas D. Hull III, President and Chief Executive Officer of Kewaunee Scientific Corporation. "We believe there is no better company in our industry at what they do. Bringing Nycom directly under the Kewaunee umbrella will broaden what we can offer our customers and provide a strong foundation for building a larger North American business."

"Together, Kewaunee and Nycom aim to make it easier for customers to turn their vision into amazing laboratory spaces, combining the products and expertise needed to support projects from design through installation."

Connecting technical product leadership with local execution

Kewaunee's strategy recognizes that technical product excellence and successful project execution are equally important to serving laboratory customers. The Company's engineering and manufacturing capabilities are complemented by the local market knowledge and project delivery expertise of partners like Nycom.

The proposed acquisition aims to create opportunities for closer coordination between Kewaunee's product teams and Nycom's project teams, with the goal of improving customer responsiveness and expanding Kewaunee's participation in laboratory projects. This closer relationship will also provide valuable insight into customer needs to help guide future product development.

"We have built Nycom around robust and scalable business processes that allow us to provide excellent service to our customers while maintaining a healthy and sustainable working environment for our employees," said Jonathan Nystrom, President of Nycom. "Our relationship with Kewaunee has been an important part of that work for many years. We see this as a tremendous opportunity to build on what our team has accomplished, bring additional resources to our business, and create synergies that expand and improve our ability to deliver successful projects with the highest quality products. There is no better manufacturing partner than Kewaunee, and we are proud to join its portfolio of businesses."

Building on an established foundation

The agreement to acquire Nycom represents an important step in Kewaunee's long-term growth strategy. Over the past seven years, the Company has focused on strengthening its domestic operations and investing in capabilities to support continued growth. During this period, Kewaunee has also developed its international business into a provider of fully-integrated laboratory solutions in key markets abroad. That experience confirmed the value of connecting technical expertise with local project delivery, an approach Kewaunee intends to further develop in North America.

The recent formation of the Company's Lab Products Group brought Kewaunee, NuAire, and EVERHUTCH together under a coordinated operating structure, expanding the Company's laboratory product offering. The addition of Nycom is intended to complement these capabilities with an established distribution and installation business, further advancing Kewaunee's diversified operating model.

A platform for continuity and disciplined growth

Kewaunee's long-term distribution strategy includes both company-owned businesses and independent partners. The Company intends to build on Nycom's capabilities to address significant opportunities for continued expansion in North America, including among successful regional businesses whose owners are considering succession. The Company believes it can offer these businesses a long-term home that respects the relationships they have built while providing resources to support their future. Kewaunee intends to remain highly selective, focusing on businesses that strengthen the Company and justify the investment required.

At the same time, independent dealers and distribution partners will remain an important part of Kewaunee's strategy. The Company intends to continue supporting these relationships while pursuing opportunities to expand through owned businesses.

"We have tremendous respect for the businesses and people who have helped build this industry," Hull said. "Our goal is to bring strong businesses into Kewaunee and give them the resources to become even better, while preserving the relationships and expertise that made them successful. We will be thoughtful in our approach and grow at a pace that allows us to deliver lasting value for our shareholders."

Looking Ahead

Following completion of the acquisition, Kewaunee intends to work closely with Nycom's leadership to identify and develop opportunities that strengthen both businesses while maintaining the high level of service their customers expect.

Kewaunee's immediate priority will be supporting continuity for Nycom's employees, customers, and existing relationships. Over time, the Company intends to build on Nycom's established platform while continuing to invest in the capabilities and partnerships that support its broader growth strategy.
