THE WOODLANDS, Texas--(BUSINESS WIRE)-- Kodiak Gas Services, Inc. (NYSE: KGS) (“Kodiak” or the “Company”) today announced that it has priced its previously announced underwritten public offering of 10,563,380 shares of common stock (the “Offering”) at a price to the public of $71.00 per share. Additionally, the Company has granted the underwriters a 30-day option to purchase up to an additional 1,584,507 shares of its common stock from the Company at the public offering price, less underwriting discounts and commissions. The Offering is expected to close on March 15, 2026, subject to the satisfaction of customary closing conditions.

The Company intends to use the net proceeds from the Offering for general corporate purposes, which will include the repayment of a portion of the outstanding borrowings under its asset-based lending facility, and which may also include funding growth capital for additional power generation equipment. Pending the potential use of the net proceeds of the Offering to fund growth capital for additional power generation equipment, the Company may temporarily apply such portion of the net proceeds to repay outstanding borrowings under its asset-based lending facility.

Goldman Sachs & Co. LLC and J.P. Morgan are acting as the joint book-running managers for the Offering. Barclays, BofA Securities, Citigroup, Jefferies, Piper Sandler, RBC Capital Markets, Wells Fargo Securities, Rothschild & Co, Stifel, Texas Capital Securities, TPH&Co., William Blair, and Raymond James acted as joint bookrunners for the Offering.
