Key Terms

restricted stock units financial
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.
performance-based restricted stock unit awards financial
Performance-based restricted stock unit awards are promises to deliver company shares to employees or executives only if the company or individual hits specific performance targets over a set period. They behave like a conditional stock bonus: the recipient does not own the shares until the performance and any time-based vesting conditions are met. Investors watch these awards because they affect future share dilution, reveal how management pay is tied to results, and signal what metrics the company prioritizes.
inducement equity incentive plan financial
An inducement equity incentive plan is a program that grants employees or executives company shares or stock options to motivate and reward their work, often as a way to attract new talent. It aligns their interests with the company's success, encouraging them to contribute to long-term growth. For investors, such plans can influence a company's stock performance and overall financial health by motivating key personnel.
nasdaq listing rule 5635(c)(4) regulatory
NASDAQ Listing Rule 5635(c)(4) is a rule that requires a company to get approval from its shareholders before selling a large amount of its shares, usually over 20%. This helps protect investors by making sure the company doesn't flood the market with new shares without their say, which could lower the stock's value.
total shareholder return financial
Total shareholder return is the overall gain an investor gets from owning a stock, combining changes in the share price plus any cash payouts like dividends, and assuming those payouts are reinvested in more shares. Investors use it like a single score that shows the true return on their investment—similar to checking both the growth of a savings account and the interest earned—to compare how well different companies or investments perform over time.
