Mid Penn Bancorp, Inc. Reports Fourth Quarter and Full Year Earnings, Declares 61st Consecutive Quarterly Dividend and Special Dividend
Key Highlights of the Fourth Quarter of 2025:

Net income available to common shareholders for the fourth quarter of 2025 was
, an increase of$19.4 million or$6.2 million 47.0% compared to the fourth quarter of 2024, and an increase of , or$1.2 million 6.29% , compared to the third quarter of 2025. Earnings per basic share for the fourth quarter of 2025 was , and$0.84 per diluted common share, an increase from$0.83 per both basic and diluted common share in the fourth quarter of 2024, and an increase from$0.72 per basic share and 0.79 per diluted share for third quarter of 2025. Net income for the year ended December 31, 2025 was$0.80 , or$56.2 million per basic and$2.59 per diluted common share, compared to$2.55 , or$49.4 million per basic and diluted common share for the year ended December 31, 2024. The increase in net income was partially offset by a higher weighted-average number of shares outstanding in 2025, which contributed to a lower diluted earnings per share compared to the prior year.$2.90

Net interest margin increased to
3.79% for the quarter ended December 31, 2025, compared to3.60% for the third quarter of 2025, and3.21% for the fourth quarter of 2024. This represents a 19 and 58 basis point ("bp") increase compared to the third quarter of 2025 and fourth quarter of 2024, respectively. That expansion was accomplished by continued improvement in deposit cost of funds and loan yields throughout the fourth quarter and over the last twelve months.

Loan balances increased
, or$41.7 million 3.4% (annualized), during the fourth quarter of 2025. Total loans increased , or$419.8 million 9.4% , to at December 31, 2025, compared to$4.9 billion at December 31, 2024. Excluding the William Penn acquisition loans of$4.4 billion , the organic loan portfolio as of December 31, 2025 declined$431.4 million or$11.6 million 0.3% from the year ended December 31, 2024.

Deposits decreased
, or$128.1 million 9.5% (annualized), during the fourth quarter of 2025, compared to a decrease of , or$106.9 million 7.8% (annualized), during the third quarter of 2025. The quarterly decrease was driven by a decrease in time deposits, a$93.7 million decrease in interest-bearing transaction accounts, and a$32.0 million decrease in noninterest-bearing accounts. Total deposits increased$2.4 million , or$524.7 million 11.2% , to at December 31, 2025, compared to$5.2 billion at December 31, 2024. Excluding the William Penn acquisition deposits of$4.7 billion , organic deposits decreased$619.8 million , or$95.0 million 2.0% , from December 31, 2024. This decrease was primarily driven by a planned reduction of approximately in brokered certificates of deposit during the third and fourth quarters of 2025 in order to deploy excess liquidity and lower funding costs. Excluding brokered deposits, organic growth totaled$225 million or$127.3 million 10.8% (annualized).
