Maison Solutions Inc. Receives Additional Nasdaq Notification Regarding Delayed Filing of Quarterly Report on Form 10-Q

The filing backlog now covers both annual and quarterly reports, while the deadline to submit a Nasdaq compliance plan remains unchanged.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Maison Solutions (MSS) received another Nasdaq noncompliance notice on September 23, 2026, after failing to file its quarterly report on time.

The Form 10-Q covers the quarter ended July 31, 2026. Its Form 10-K for the fiscal year ended April 30, 2026, also remains overdue. The notice has no immediate effect on its Class A shares, which continue trading on the Nasdaq Capital Market. The existing October 19, 2026 deadline to submit a compliance plan is unchanged. If Nasdaq accepts the plan, it may allow up to 180 calendar days from the Form 10-K’s due date, until February 9, 2027, to file both reports.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

MONTEREY PARK, CA / ACCESS Newswire / September 29, 2026 / Maison Solutions Inc. (Nasdaq:MSS) (the "Company") today announced that, on September 23, 2026, it received a notification letter from the Listing Qualifications staff of The Nasdaq Stock Market LLC ("Nasdaq") stating that, because the Company had not timely filed its Quarterly Report on Form 10-Q for the quarter ended July 31, 2026 (the "Form 10-Q"), and because the Company remains delinquent in filing its Annual Report on Form 10-K for the fiscal year ended April 30, 2026 (the "Form 10-K"), it is not in compliance with Nasdaq Listing Rule 5250(c)(1), which requires listed companies to timely file all required periodic reports with the U.S. Securities and Exchange Commission (the "SEC").

The notification has no immediate effect on the listing of the Company's Class A common stock, which continues to trade on The Nasdaq Capital Market under the symbol "MSS."

Under the Nasdaq listing rules, the Company has until October 19, 2026 to submit to Nasdaq a plan to regain compliance with the rule. As previously disclosed, on August 20, 2026, the Company received a notification from Nasdaq concerning the late filing of the Form 10-K. The October 19, 2026 deadline to submit a plan to regain compliance was established in that earlier notification and remains unchanged following receipt of the September 23, 2026 notification. If Nasdaq accepts the plan, it may grant the Company an exception of up to 180 calendar days from the Form 10-K's due date, or until February 9, 2027, to file the Form 10-K and the Form 10-Q to regain compliance. If Nasdaq does not accept the plan, the Company may appeal the determination to a Nasdaq Hearings Panel.
