Namib Minerals Signs Indicative US$30 Million Ecobank Term Sheet for Redwing Bankability Programme

The proposed loan would supplement previously secured funding to complete Redwing’s resource-definition and bankability programme.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Namib Minerals (NAMM) announced that its subsidiary signed a nonbinding Ecobank term sheet for a proposed US$30 million loan supporting Redwing Mine. The proposed non-dilutive facility has a 36-month term and remains subject to definitive documentation and customary conditions precedent.

Namib expects the facility, together with previously secured funding, to fund Step 3’s resource-definition and bankability programme under its current scope and budget. A previously secured US$6.5 million BancABC loan partly funded that step. The term sheet also contemplates Ecobank and Ecobank Group arranging and underwriting construction financing after completion of a definitive feasibility study, subject to further conditions and arrangements.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Key Terms

3 terms
term sheet financial
"has signed a nonbinding term sheet with Ecobank Zimbabwe Limited"
A term sheet is a short, non-binding summary of the main points agreed between parties before a formal investment, loan, or acquisition is completed. Think of it as a blueprint that lists price, ownership split, key rights and conditions, and timelines so everyone knows the deal’s structure before lawyers draft final contracts. Investors care because it signals the likely economic terms, risks, and protections they will get and can make or break whether a transaction proceeds.
non-dilutive financial
"a proposed non-dilutive $30 million, 36-month loan facility"
Non-dilutive describes funding or income that does not reduce existing shareholders’ ownership percentage. It matters to investors because it lets a company raise money or generate value—through grants, loans, licensing deals, or revenue—without issuing extra shares, so each existing share keeps the same claim on profits and control; think of adding toppings to a cake without cutting it into more slices.
underwriter financial
"acting as lead arranger and underwriter for financing the construction phase"
An underwriter is a financial firm that evaluates, guarantees and helps sell a new security offering—such as a stock or bond—by buying the issue from the issuer and reselling it to investors or organizing the sale. Think of them as a bridge or safety net: they take on the risk, set the price, handle marketing and paperwork, and their work determines how much money a company can raise and how smoothly the offering reaches the market.

NEW YORK, Oct. 22, 2026 (GLOBE NEWSWIRE) -- Namib Minerals (“Namib” or “the Company”) (Nasdaq: NAMM) today announced that its subsidiary, Bulawayo Mining Company (Private) Limited, has signed a nonbinding term sheet with Ecobank Zimbabwe Limited (“Ecobank”) for a proposed non-dilutive $30 million, 36-month loan facility (the “Proposed Facility”) intended to support Redwing Mine’s resource-definition and bankability programme. The Proposed Facility remains subject to completion of the customary conditions precedent and the execution of definitive documentation.

Upon completion of the definitive documentation and satisfaction of the customary conditions precedent, on the proposed terms, the Proposed Facility, together with previously secured funding allocated to the programme, is expected to provide the funding required to complete Step 3 of the Company’s Development Timelines and Milestones (“Development Milestones”), based on the programme’s current scope and budget. Step 3 focuses on resource definition and establishing the bankability of Redwing Mine.

As previously announced, Step 3 had been partly funded by the US$6.5 million non-dilutive term loan facility secured from African Banking Corporation of Zimbabwe Limited (“BancABC”). Under the term sheet, the Proposed Facility would finance hoist-related expenditures, expansion and maintenance of the milling plant, drilling equipment, mine development and further exploration drilling to increase Redwing Mine’s resource base.

Resource definition and bankability are key milestones in assessing the potential to develop Redwing Mine into a larger-scale gold operation. Completion of this programme will inform the proposed development’s scale, capital requirements and construction plan, and support the Company’s investment decision.

The Company intends to provide further updates on the status of the Proposed Facility and progress against the Development Milestones.

The term sheet also contemplates Ecobank and Ecobank Group acting as lead arranger and underwriter for financing the construction phase of Redwing’s proposed larger-scale development, following completion of the definitive feasibility study and subject to further conditions and arrangements. The Company intends to provide further details of the scope, amount and terms as they develop upon completion of the definitive feasibility study.

“Further to our announcement on 5 June 2026, we believe Ecobank’s continued support of the Company further reflects confidence in our resources and operating record. If completed on the proposed terms, this Facility would, subject to the results of the definitive feasibility study and negotiation of definitive documentation, complete the funding package for Redwing’s resource-definition and bankability programme. Our focus is on delivering this programme and establishing the basis for a disciplined construction decision,” said Sphe Mchunu, Chief Financial Officer of Namib Minerals.
