National Health Investors (NHI) will participate in investor meetings at the BofA Securities 2026 Global Real Estate Conference on September 15, 2026, and has updated its investment pipeline.

The company reports approximately $272.0 million of investment opportunities under signed letters of intent and about $51.7 million tied to real estate purchase options. NHI expects to use proceeds from a Section 1031 exchange, initiated by the NHC portfolio sale, to fund a significant portion of these opportunities and to defer recognition of a substantial part of the taxable gain from that sale. Beyond the signed LOIs, NHI is evaluating an additional pipeline of roughly $285 million in potential investments, including SHOP, sale-leasebacks and loans with purchase options, focused mainly on senior housing properties and excluding portfolio deals.

Key Terms

3 terms
letters of intent financial
"under signed Letters of Intent ("LOI")"
A letter of intent is a preliminary written agreement that outlines the main terms and mutual expectations for a planned transaction—such as a sale, merger, partnership, or financing—before the final legal contracts are signed. Think of it as a detailed handshake or a rough recipe: it shows serious intent and sets the roadmap for due diligence and negotiations, but it often leaves key details open and does not guarantee the deal will close, so investors should treat it as a strong signal rather than a certainty.
section 1031 exchange financial
"proceeds from the Section 1031 exchange transaction"
A section 1031 exchange is a U.S. tax rule that lets real estate investors swap one investment property for another and delay paying capital gains tax, as long as certain timing and property-type rules are followed. It matters to investors because it preserves more capital for reinvestment—like trading up to a bigger or better property without cashing out and triggering an immediate tax bill—helping with portfolio growth, diversification, and tax-efficient estate planning.
sale-leasebacks financial
"investments which include SHOP, sale-leasebacks and loans"
A sale-leaseback is a financial move where a company sells an asset it owns—often real estate or equipment—and then rents the same asset from the new owner, like selling your house and signing a long-term lease to keep living there. Investors care because it converts tied-up assets into immediate cash, which can fund growth or pay debt, but it also adds ongoing rental expenses and removes ownership from the balance sheet, affecting future cash flow and risk.
