Key Terms
restricted stock unitsfinancial
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.
performance-based restricted stock unitsfinancial
Performance-based restricted stock units are a type of employee equity award that converts into company shares only if predefined financial or operational targets are met over a set period. Think of it like a bonus check that becomes stock only when specific goals are hit; it ties pay to results, aligning managers’ incentives with shareholders. Investors care because these awards affect future share count, executive incentives, and signal how management’s success will be measured and rewarded.
Nasdaq Listing Rule 5635(c)(4)regulatory
NASDAQ Listing Rule 5635(c)(4) is a rule that requires a company to get approval from its shareholders before selling a large amount of its shares, usually over 20%. This helps protect investors by making sure the company doesn't flood the market with new shares without their say, which could lower the stock's value.
Nasdaq Marketplace Rulesregulatory
A set of standards and procedures that govern how stocks and other securities are listed, traded and monitored on the Nasdaq exchange; think of it as the marketplace rulebook that sets eligibility, disclosure, trading conduct and enforcement practices. Investors care because these rules affect whether a company can be listed or removed, how transparently it must report information, and how fairly trades are executed — all of which influence risk and the ability to buy or sell shares.
total stockholder returnfinancial
Total stockholder return is the percentage gain or loss an investor would have experienced over a period from both changes in a stock’s price and any cash payouts such as dividends, assuming those payouts are reinvested in the stock. It matters because it shows the complete financial outcome of owning a share — like measuring both a house’s change in sale value and the rent you collected — and lets investors fairly compare performance across companies and time.
Russell 2000 Indexfinancial
A stock-market benchmark that tracks about 2,000 small-cap U.S. companies, the Russell 2000 gives a snapshot of how smaller publicly traded firms are performing. Investors use it like a thermometer or yardstick for the small-company segment of the market—funds and portfolio managers compare returns to it, and its movements can signal changes in economic risk appetite or growth expectations; it is weighted so larger small companies have a bigger influence on the index.
30-trading-day average closing pricefinancial
The 30-trading-day average closing price is the arithmetic mean of a security’s daily closing prices over the most recent 30 days when markets were open. Think of it as a 30-day rolling snapshot that smooths out daily ups and downs like averaging weekly temperatures to see a trend; investors use it to gauge recent price direction, detect unusual volatility, and evaluate whether a stock meets price-based thresholds used in trading, listing, or corporate decisions.
FREMONT, Calif.--(BUSINESS WIRE)--
Penguin Solutions, Inc. (Nasdaq: PENG) (“Penguin Solutions” or the “Company”) today announced the grant of inducement equity awards to its new President and Chief Executive Officer, Kash Shaikh, in connection with the commencement of his employment with the Company on February 2, 2026. The independent Compensation Committee of the Board of Directors of the Company (the “Committee”) approved the grants to Mr. Shaikh on February 2, 2026 of time-based restricted stock units with respect to 238,188 shares and 137,898 shares of the Company’s common stock (the “Initial RSUs” and the “Supplemental RSUs,” respectively) and performance-based restricted stock units with respect to 238,188 shares and 137,898 shares of the Company’s common stock at the target level of performance (the “Stock Appreciation PSUs” and the “Relative TSR PSUs,” respectively).

The awards were granted under the Penguin Solutions, Inc. Amended and Restated 2021 Inducement Plan (the “2021 Inducement Plan”), which was adopted by the Company’s Board of Directors, effective as of June 30, 2025, and which authorizes equity awards outside of the stockholder-approved Penguin Solutions, Inc. Amended and Restated 2017 Stock Incentive Plan to provide inducements for certain individuals to enter into employment with the Company and its subsidiaries and affiliates.
The Initial RSUs and the Supplemental RSUs will vest over four years, with 25% vesting on April 20, 2027 and the remaining 75% vesting in equal quarterly installments thereafter, subject to Mr. Shaikh’s continued service through each applicable vesting date.
The Stock Appreciation PSUs will vest, if at all, upon certification by the Committee that the 30-trading-day average closing price of the Company’s common stock has equaled or exceeded stock appreciation targets of 25%, 50%, 75%, and 100% above the 30-trading-day trailing average closing price of the Company’s common stock preceding the grant date, with cumulative vesting at each level of 50%, 100%, 150%, and 200% of the number of Stock Appreciation PSUs, respectively, and subject to Mr. Shaikh’s continued service through the applicable achievement certification date. The Stock Appreciation PSUs have a four-year performance period beginning on the grant date, and no Stock Appreciation PSUs will vest before the first regularly scheduled Committee meeting on or after the second anniversary of the grant date.
The Relative TSR PSUs will vest, if at all, based on the Company’s total stockholder return (“TSR”) relative to the performance of the median company in the Russell 2000 Index following the end of a three-year performance period, subject to Mr. Shaikh’s continued service through the date of the Committee’s certification that the Company’s TSR equals or exceeds the applicable threshold level of performance. The number of shares that may be earned under the Relative TSR PSUs ranges from 0% of target to 200% of target.
Other terms of the awards are set forth in the 2021 Inducement Plan and the applicable award agreements covering such awards.
