Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The program and related deposit agreement are expected to terminate before the market opens on October 21, 2026. Simultaneously, a 10-for-1 share consolidation will apply to both Class A and Class B ordinary shares. Together, these actions mean holders will receive three post-consolidation Class A ordinary shares for every ten ADSs. Class A shares are expected to begin Nasdaq trading at market opening that day under the unchanged symbol POM.

american depositary receipt financial
"terminate its American Depositary Receipt program"
An American depositary receipt (ADR) is a certificate that represents shares of a foreign company traded on U.S. stock exchanges. It allows investors to buy and sell parts of a foreign company's stock easily, much like purchasing shares of a company based in their own country. ADRs make international investing more convenient and accessible for U.S. investors.
american depositary shares financial
"holders and beneficial owners of the American Depositary Shares"
American depositary shares (ADSs) are a way for investors in the United States to buy shares of foreign companies without dealing with international markets directly. They represent ownership in a foreign company's stock and are traded on U.S. stock exchanges, making it easier for American investors to buy, sell, and own parts of companies from around the world.
cusip technical
"with the new CUSIP number G7166T112"
A CUSIP is a nine-character alphanumeric code that uniquely identifies a U.S. or Canadian financial security—such as a stock, bond, or fund share—like a Social Security number for an investment. It matters to investors because brokers, exchanges and record-keepers use the CUSIP to match trades, track ownership, settle transactions and pull accurate records, reducing errors and ensuring money and securities go to the right place.

GUANGZHOU, China, Oct. 19, 2026 /PRNewswire/ -- POMDOCTOR LIMITED ("Pomdoctor" or the "Company") (NASDAQ: POM), a digital healthcare company focused on advancing artificial intelligence ("AI")-enabled healthcare solutions, today announced that it has commenced to terminate its American Depositary Receipt program (the "ADR Program"), including the termination of the related deposit agreement, as amended, and list the Company's Class A ordinary shares directly on The Nasdaq Stock Market LLC ("Nasdaq").

The termination was previously approved by the board of directors of Pomdoctor on September 3, 2026 and approved by the Company's shareholders on a non-binding advisory basis at the extraordinary general meeting of shareholders held on September 30, 2026.

The ADR Program to be terminated was established pursuant to the Deposit Agreement, dated October 9, 2025, as amended, among the Company, Citibank, N.A. (the "Depositary") and the holders and beneficial owners of the American Depositary Shares ("ADSs") issued thereunder (the "Deposit Agreement").

The ADR Program and the Deposit Agreement are expected to terminate prior to the opening of the market on October 21, 2026. At that time, the Company's ADSs will be mandatorily cancelled and exchanged for the Class A ordinary shares to be distributed to the ADS holders (the "Mandatory Exchange") according to the Deposit Agreement.

Simultaneously with the effectiveness of the termination of the ADR Program, the Company will effect a share consolidation of its Class A ordinary shares and Class B ordinary shares, pursuant to which every ten (10) ordinary shares of each class will be consolidated into one (1) ordinary share of the same class (the "Share Consolidation"). As a result of the Share Consolidation and Mandatory Exchange, each holder of ten (10) ADSs will receive three (3) post-Share Consolidation Class A ordinary shares. In connection with the termination of the ADR Program and Share Consolidation, the Company plans to list its Class A ordinary shares for trading on Nasdaq in substitution for the ADSs. The Company's Class A ordinary shares are expected to commence trading on Nasdaq when the market opens on October 21, 2026 under the symbol "POM" with the new CUSIP number G7166T112.

The Company has appointed TranShare Corporation as its transfer agent in the United States for its Class A ordinary shares.
