Outdoor Holding Company (POWW) increased its aggregate share repurchase authorization to $35 million and extended the program through July 4, 2027.

The Board raised the authorization from $15 million, a $20 million increase, and extended the program by six months. The $35 million includes all repurchases since the program launched in January 2026. As of September 30, 2026, the company had repurchased approximately $8.4 million of common stock, excluding commissions and fees, leaving approximately $6.6 million under the prior authorization. Other program terms remain unchanged, and the authorization does not require any particular number of shares to be repurchased.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

3 terms
rule 10b5-1 trading plans regulatory
"including pursuant to one or more Rule 10b5-1 trading plans"
Rule 10b5-1 trading plans are written, pre-arranged instructions that allow company insiders (such as executives or directors) to automatically buy or sell their company's stock at specified times or under set conditions, like a standing instruction or automated thermostat for trades. They matter to investors because these plans provide a legal defense against insider‑trading accusations and create predictable insider trading patterns that can help signal whether sales are routine portfolio management or potentially meaningful to the company’s outlook.
free cash flow financial
"returning capital to shareholders from free cash flow"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.

debt covenants financial
"debt covenants and other contractual restrictions"
Debt covenants are rules written into a loan or bond agreement that limit what a borrower can do — for example, requirements to keep profits or assets above a certain level, limits on taking more debt, or restrictions on selling key assets. They matter to investors because breaking these promises can force immediate repayment, raise borrowing costs, or signal financial stress, much like breaking the terms of a lease can lead to penalties or eviction.

Dallas, Texas, Oct. 22, 2026 (GLOBE NEWSWIRE) -- Outdoor Holding Company (Nasdaq: POWW, POWWP) (“OHC,” “we,” “us,” “our” or the “Company”), the owner of GunBroker.com, the largest online marketplace dedicated to firearms, hunting, shooting and related products, today announced that its Board of Directors (the “Board”) approved an amendment to the Company’s share repurchase program that increases the aggregate repurchase authorization from $15 million to $35 million and extends the program by six months, through July 4, 2027. The $35 million authorization includes all repurchases made since the program was launched in January 2026 and represents a $20 million increase over the prior authorization.

As of September 30, 2026, the Company had repurchased approximately $8.4 million of its common stock under the program, excluding commissions and fees, leaving approximately $6.6 million available under the prior authorization. Except as described above, the terms of the program are unchanged.

“The Board’s decision to more than double the repurchase authorization reflects our confidence in the durability of GunBroker’s cash generation and our belief that our shares represent an attractive use of capital at current prices,” said Steve Urvan, Chairman, President and Chief Executive Officer of the Company. “We have been a consistent and disciplined buyer of our stock since the program launched in January, and the strength of our balance sheet allows us to continue returning capital to shareholders from free cash flow while preserving the ability to continue investing in the platform and preserving the flexibility to pursue strategic opportunities. Allocating capital to its highest and best use is central to how we run the Company.”

Repurchases under the program may be made from time to time, in management’s discretion and within the limits of the Board’s authorization, through a variety of methods, including open market purchases, privately negotiated transactions, and other means in accordance with federal securities laws, including pursuant to one or more Rule 10b5-1 trading plans. The timing, volume, and value of any repurchases will be determined based on factors including market conditions, the Company’s liquidity and capital needs, and other factors deemed relevant by management.

Repurchases will be funded from existing cash balances, future operating cash flows or other legally available funds and remain subject to applicable law, the Company’s insider trading policy, applicable trading-window restrictions, and debt covenants and other contractual restrictions. The Board’s authorization does not itself amend any existing Rule 10b5-1 trading plan. The program does not obligate the Company to repurchase any particular number of shares and may be modified, suspended, or terminated at any time at the discretion of the Board or management.
