Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

SkyAI (SKYA) expanded its cash tender offer to all outstanding pre-funded and stapled warrants and extended expiration to November 12, 2026. The offer covers up to 48,311,489 common shares at $3.00 each, 15,600,616 pre-funded warrants at $2.9999 each, 63,213,672 stapled warrants at $0.17 each, and 3,955,293 strategic warrants at $2.9999 each. The share and strategic-warrant limits represent 95% of each class.

If all securities sought are tendered, payments will total approximately $214.3 million, funded from approximately $223 million cash on hand; no financing condition applies. Bastion Trading agreed to tender all its common shares, pre-funded warrants and stapled warrants. Earlier pre-funded-warrant tenders must be resubmitted; earlier common-share tenders remain valid. SkyAI sold approximately 2 million SOL before the offer, holds none and will not repurchase SOL after closing.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

4 terms
pre-funded warrants financial
"cash pre-funded warrants and cryptocurrency pre-funded warrants"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
exercise price financial
"The stapled warrants have an exercise price"
The exercise price is the fixed amount at which you can buy or sell an asset, like a stock, when using an options contract. It matters because it helps determine whether exercising the option will be profitable or not, depending on the current market price. Think of it as the set price you agree on today to buy or sell later.
proration financial
"including any expected proration"
Proration is the method of dividing a limited quantity—such as shares in an offering, dividends, or rights—among claimants when demand exceeds supply, so each participant receives a proportional slice rather than the full amount requested. It matters to investors because proration determines how many shares or what portion of a payout they actually receive, which affects portfolio size, cash needs, and the expected return; think of it as splitting a pie fairly when more people want a piece than there are slices.
schedule to regulatory
"filed as part of a tender offer statement on Schedule TO"
A phrase indicating that a company plans or intends to hold an event, publish information, or take an action at a specified future time, but that the timing is not guaranteed and may change. For investors it signals an expected milestone—like an earnings call, product launch, or filing—so think of it as a calendar note rather than a firm promise; timing shifts can affect trading, expectations, and planning.

Amended offer includes 100% of outstanding pre-funded warrants and adds stapled warrants at $0.17 per warrant

Pre-funded warrant holders who tendered before the amendment must tender again

Offer extended to November 12, 2026

NEW YORK, Nov. 02, 2026 (GLOBE NEWSWIRE) -- SkyAI, Inc. (Nasdaq: SKYA) (“SkyAI” or the “Company”) today announced amendments to its previously announced cash tender offer (the “Offer”), expanding the Offer to include 100% of the Company’s outstanding cash pre-funded warrants and cryptocurrency pre-funded warrants, as well as all outstanding cash stapled warrants and cryptocurrency stapled warrants. The Company has also extended the expiration of the Offer to one minute after 11:59 p.m., New York City time, on November 12, 2026, unless further extended or earlier terminated.

As previously announced, on October 27, 2026, Bastion Trading Limited and certain of its affiliates (together, “Bastion Trading”) entered into a tender support and settlement agreement (the “Agreement”) with the Company. Under the Agreement, Bastion Trading has agreed to tender all of its shares of common stock, pre-funded warrants and stapled warrants.

“By expanding the tender offer, we are providing all holders of our pre-funded warrants and stapled warrants with an equal opportunity for liquidity on the same terms,” said Paul Danner, Executive Chairman of SkyAI. “These amendments serve the interests of our security holders and allow management to remain focused on building our agentic AI financial platform.”

The Offer will expire at one minute after 11:59 p.m., New York City time, on November 12, 2026, unless further extended or earlier terminated. The Company reminds shareholders and warrant holders who wish to tender that brokers and other nominees may set earlier deadlines.

How to Tender

Shares held through a broker. Holders whose shares are held by a broker, dealer, commercial bank, trust company or other nominee should contact that nominee and instruct it to tender. The nominee may set a deadline earlier than the expiration of the Offer, so holders should contact their nominee as soon as possible.

Shares registered with VStock. Holders whose shares are registered in their own name with VStock Transfer, LLC (“VStock”), the Company’s transfer agent, can tender by signing the first DocuSign sent by MacKenzie Partners, Inc. (“MacKenzie”), the Company’s Depositary and Information Agent, titled “SkyAI, Inc. – Tender Offer for Up to 95% of Outstanding Common Stock and Pre-Funded Warrants at $3.00 Each”. They can instead complete the physical Letter of Transmittal mailed to their registered address and send it to MacKenzie at 7 Penn Plaza, Suite 503, New York, NY 10001.

Pre-funded warrants. All pre-funded warrants are held with VStock. Holders can tender them by signing the second DocuSign which will be sent by MacKenzie later today, or by completing the new physical Letter of Transmittal mailed to their registered address. Tenders of pre-funded warrants made before the amendment, through the first DocuSign or the original Letter of Transmittal, are no longer valid. Holders who tendered pre-funded warrants before the amendment must tender them again with the second DocuSign or the new Letter of Transmittal.

Stapled warrants. All stapled warrants are held with VStock and none are held through a broker. Holders can tender them with the same second DocuSign or the new physical Letter of Transmittal.

Holders who already tendered shares. A tender of common stock made before the amendment, through a broker, the first DocuSign or the original Letter of Transmittal, stays in place under the amended Offer. These holders do not need to sign again or give their broker new instructions.

Warrant holders do not need to exercise their warrants before they tender. Holders of pre-funded warrants and strategic warrants will receive $2.9999 per warrant, the amount they would receive by exercising and tendering the underlying share. Holders may withdraw tendered securities at any time before the Offer expires.

No Recommendation Regarding Participation in the Offer

The Board of Directors of the Company (the “Board”) has approved the Offer and the amendments. However, neither SkyAI, the Board, the Company’s directors or officers, nor the depositary and information agent makes any recommendation to any shareholder or warrant holder as to whether the shareholder or warrant holder should tender or refrain from tendering shares or warrants in the Offer or as to the number of shares or warrants a shareholder or warrant holder should tender.

Each shareholder and warrant holder must make his, her or its own decision regarding whether to participate in the Offer and, if so, how many shares or warrants to tender. Shareholders and warrant holders are urged to carefully review the Offer Materials (as defined below) and to consult their own financial, tax and legal advisors in making that decision.
