SkyAI adds shareholder email to $3 tender offer

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

SkyAI, Inc. (SKYA) is offering to purchase for cash up to 48,311,489 shares of common stock, including associated preferred share purchase rights, plus up to 4,880,734 cash pre-funded warrants, 9,939,850 cryptocurrency pre-funded warrants and 3,955,293 strategic warrants. The purchase price is $3.00 per share, less $0.0001 for the pre-funded and strategic warrants. Payment is in cash, less applicable withholding taxes and without interest, subject to the terms and conditions of the Offer to Purchase dated October 15, 2026.

This amendment adds an email from MacKenzie Partners, Inc. to shareholders and an October 19, 2026 company press release to the exhibit list.

Filing Explained

Although the filing labels itself a final amendment reporting tender-offer results, its explanatory note says it only adds an email and an October 19, 2026 press release to Item 12, so the amendment text provided leaves the amount actually purchased unspecified.

Common stock shares 48,311,489 shares Maximum amount covered by the tender offer, including associated preferred share purchase rights
Cash pre-funded warrants 4,880,734 warrants Maximum amount covered by the tender offer
Cryptocurrency pre-funded warrants 9,939,850 warrants Maximum amount covered by the tender offer
Strategic warrants 3,955,293 warrants Maximum amount covered by the tender offer
Purchase price $3.00 per share $0.0001 less for pre-funded and strategic warrants
Price reduction for specified warrants $0.0001 Pre-funded and strategic warrants
Cash Pre-Funded Warrants financial
"up to 4,880,734 cash pre-funded warrants"
preferred share purchase rights financial
"including the associated preferred share purchase rights issued pursuant to the Rights Plan"
Preferred share purchase rights are contractual entitlements that let certain investors buy newly issued preferred shares at a specified price and time, often before the public. Preferred shares themselves usually receive priority for dividend payments and claims on assets, so these purchase rights act like a coupon to secure that priority; they matter to investors because they protect ownership stakes, can preserve income priority, and influence how much new capital a company can raise and how existing ownership is diluted.
Letter of Transmittal financial
"related Letter of Transmittal for Common Stock"
A letter of transmittal is a written form investors use when sending physical stock certificates or electronic ownership documents to a company or its agent to surrender shares, tender them in an offer, or claim payment or replacement securities. It acts like a packing slip that lists what is enclosed, gives instructions on how the transfer should be handled, and provides proof of the transaction—important for ensuring investors receive the correct payment or new securities without delay or dispute.
