Kingswood Capital Partners, LLC is acting as the placement agent (the “Placement Agent”) in connection with this Offering.

Gross proceeds, before deducting Placement Agent fees and other offering expenses, are expected to be approximately $9,600,000. The Offering is expected to close on September 28, 2026, subject to customary closing conditions.
