Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Trident Digital Tech Holdings (Nasdaq: TDTH) secured voluntary resale restrictions from a majority of investors in its September equity offering.

The agreements cover participating investors’ purchases in the 30,000,000-share Class B offering completed September 27, 2026. Covered shares cannot be sold, transferred or hedged from October 17, 2026 through January 17, 2027. Three equal tranches are scheduled for release on February 16, March 18 and April 17, 2027.

After the lock-up ends, all remaining covered shares can be released early only if the official Nasdaq closing price reaches US$8.00 or more for five consecutive trading days. Trident is seeking agreements with the remaining investors.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Key Terms

leak-out agreements, shelf registration statement, restrictive legend, material non-public information
4 terms
leak-out agreements financial
"lock-up and leak-out agreements with the Company covering the Class B ordinary shares"
A leak-out agreement is a contract that limits how quickly a large shareholder can sell or transfer shares into the public market by allowing only a controlled, gradual release of stock over time. Instead of prohibiting sales outright (as a lock-up does), the agreement sets rules such as maximum daily or periodic volume, a fixed schedule for permitted sales, or routing through a designated broker so that a block of shares is “leaked out” in smaller tranches to avoid sudden market disruption. Such agreements are typically negotiated between a selling shareholder and underwriters, buyers, or the company and affect the timing and method of secondary sales but do not permanently prevent eventual disposition of the shares.
shelf registration statement regulatory
"issued under the Company’s effective shelf registration statement"
A shelf registration statement is a document a company files with regulators that allows it to sell shares or bonds quickly when it’s a good time to raise money. It’s like having a pre-approved plan ready so the company can act fast without going through lengthy paperwork each time they want to sell, making fundraising more flexible.
restrictive legend regulatory
"Covered shares carry a restrictive legend and stop-transfer instructions"
A restrictive legend is a notation printed on a stock certificate or encoded on an electronic security record that warns the holder the shares are subject to legal or contractual transfer limits. It identifies why the shares cannot be freely sold or transferred — for example because they are unregistered under federal securities laws, issued under a private placement, subject to lock-up agreements, or governed by contractual resale restrictions — and transfer usually requires satisfying conditions (such as registration, a compliance certificate, or a legal opinion) or formal removal of the legend by the issuer or transfer agent before the shares can be moved into a freely transferable form.
material non-public information regulatory
"trading while in possession of material non-public information"
Material non-public information is important news about a company that hasn't been shared with the public yet, like a secret that could affect its stock price. Using this inside information to buy or sell stocks is unfair and illegal because it gives someone an unfair advantage over others who don’t have the same info.

A majority of the investors in the 30,000,000-share Class B offering completed September 27, 2026 have agreed to a 90-day lock-up and staged release, with early release only if TDTH closes at or above US$8.00 per share for five consecutive trading days

SINGAPORE, Oct. 20, 2026 (GLOBE NEWSWIRE) -- Trident Digital Tech Holdings Ltd (“Trident” or the “Company”) (Nasdaq: TDTH) today announced that a majority of the investors in its September 27, 2026 equity offering have entered into lock-up and leak-out agreements with the Company covering the Class B ordinary shares they purchased in that offering. Under the agreements, those shares may be released early from all restrictions only if Trident’s Class B ordinary shares close at or above US$8.00 per share for five consecutive trading days.

The shares were issued under the Company’s effective shelf registration statement and carried no contractual resale restriction when sold. The investors have voluntarily agreed to hold them through a defined schedule tied to the Company’s execution of the priorities it set out on September 29, 2026.

Terms of the Lock-Up and Leak-Out Agreements

Lock-Up Period. From October 17, 2026 through January 17, 2027, no covered shares may be sold, transferred, hedged, shorted or otherwise disposed of, directly or indirectly, including through swaps or derivative positions. The restriction extends to each investor’s controlled affiliates.

Staged Release. Following the Lock-Up Period, covered shares are released in three equal tranches on February 16, March 18 and April 17, 2027.

Price-Based Acceleration. All remaining covered shares are released early only if the official Nasdaq closing price of Trident’s Class B ordinary shares equals or exceeds US$8.00 per share for five consecutive trading days after the Lock-Up Period ends.

Enforcement. Covered shares carry a restrictive legend and stop-transfer instructions at the Company’s transfer agent. The agreements provide the Company with specific performance, liquidated damages and an automatic extension of the restricted period in the event of any breach, and expressly preserve all restrictions imposed by applicable securities laws, including on trading while in possession of material non-public information.

Trident is continuing to work with the remaining investors in the September 27 offering to bring them under the same terms and will update the market as additional agreements are executed.

Capital Aligned With Execution

The agreements align the September 27 capital with the operating program Trident committed to on September 29: scaling Sikaflow and the Ghana Revenue Authority digital tax platform across Ghana’s more than two million MSMEs; funding the build-out of the IRMA Asia enterprise-AI joint venture across Asia, the Middle East and Africa; and establishing a regional cybersecurity business around Memcyco’s real-time fraud defence. Trident will report progress against each of these priorities on measurable milestones, as previously announced, and the release dates under the agreements now fall within the period in which that progress will be reported.

“The investors who funded Trident in September have now put their capital on the same timeline as our execution,” said Soon Huat Lim, Founder, Chairman and Chief Executive Officer of Trident. “They purchased freely tradable shares and chose to hold them — with the only early exit set at US$8.00 per share. That is a statement about where they believe this Company is going. Our job is to deliver the milestones in Ghana, in enterprise AI and in cybersecurity that justify it, and we intend to report on every one of them.”

The foregoing description of the lock-up and leak-out agreements is a summary only and is qualified in its entirety by the form of agreement to be furnished by the Company in a Report of Foreign Private Issuer on Form 6-K filed with the U.S. Securities and Exchange Commission (“SEC”) and available at www.sec.gov. This press release shall not constitute an offer to sell or the solicitation of an offer to buy any securities.
