Talent Infinity Provides Clarification Regarding Stock Options

Cancellation requires each affected holder’s consent and will not change previously recognized compensation expense for vested options.

Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Talent Infinity Resource Developments (TIRDF) has begun seeking consent to cancel stock options covering 3,046,000 common shares from its February grant. The board has approved the cancellation, but each affected holder must consent before it becomes effective. The affected options were allocated to 18 consultants and advisors and one former director.

The February 25, 2026 grant covered 4,346,000 shares; its exercise price was corrected on April 21 to $0.35 per share. None of the options have been exercised. After all required consents and cancellation, options covering 1,300,000 shares held by current directors and officers would remain exercisable at $0.35 per share until February 25, 2031. The audited financial statements for the year ended May 31, 2026 reflect the options as granted and outstanding then. Cancellation of vested options does not change previously recognized share-based compensation expense.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Vancouver, British Columbia--(Newsfile Corp. - October 15, 2026) - Talent Infinity Resource Developments Inc. (CSE: TICO) (OTCQB: TIRDF) (FSE: ON8) (the "Company" or "TICO") provides the following clarification regarding the stock options announced on February 25, 2026 at the request of the British Columbia Securities Commission (the "BCSC").

On February 25, 2026, TICO announced the grant of stock options to purchase an aggregate of 4,346,000 common shares to directors, officers and consultants of the Company. On April 21, 2026, TICO announced a correction of the exercise price of the options to $0.35 per common share, in accordance with the policies of the Canadian Securities Exchange (the "CSE"). None of the options have been exercised.

Following a review of the grant in response to the BCSC's inquiry, the Company determined that 18 consultants and advisors and one former director of the Company were ineligible to receive stock options under the Company's stock option plan. These individuals had previously been announced as recipients of stock options to purchase an aggregate of 3,046,000 common shares. The Company has commenced the process to cancel these stock options. TICO's board of directors has approved the cancellation of the options. Under the Company's stock option plan, the cancellation requires the consent of each affected optionee, and the Company is seeking those consents. A further news release and the applicable CSE filings will follow within two business days after the cancellations become effective.

Upon receipt of all required consents and completion of the cancellation, options to purchase 1,300,000 common shares held by the Company's current directors and officers from the February 25, 2026 grant will remain outstanding, each exercisable at $0.35 per common share until February 25, 2031.

The Company's audited financial statements for the year ended May 31, 2026, reflect the options as granted and outstanding at that date. The cancellation of vested options does not change the share-based compensation expense previously recognized.
